Mamma.com Inc. ("Mamma.com" or the "Company") has grown to over 45 employees and now serves more than 4.9 million unique users monthly by repeatedly delivering superior search capabilities to end-users at the www.mamma.com website, as well as powering over 13,000 third party websites with an optimal search solution in terms of product, branding and revenue benefit mix.

In late 1999, Intasys (Nasdaq: INTA), an incubator with investments in mobile and Internet companies, consolidated individual shareholders and invested in a 67% stake of the Company. Mamma.com's management proceeded to scale operations and deploy resources to expand the reach and scope of the Mamma.com Search Network throughout the World Wide Web. The Company has since expanded its management team by hiring experienced and enthusiastic individuals from around the world.

The overwhelming amount of information on the World Wide Web has caused many to use search engines as their entry point to the Web. Most web sites are discovered by means of search engines, which rank second after e-mail as the most utilized Internet tool. To cater to this need, Herman Tumurcuoglu developed Mamma.com, a breakthrough parallel search engine.

Mamma.com has successfully created an "e-business ecosystem," perfecting the Business to Business to Consumer business model. Mamma.com is the leading aggregator and distributor of search results to e-businesses.

Offering end-users comprehensive meta search results and distribution for keyword targeted advertising at its www.mamma.com website, the Company leverages its search capabilities and offers these to site operators seeking the optimal product, revenue, and branding search solution. Mamma.com thus adds depth and synergy to its core competency by extending its offering to businesses. This simultaneously decreases acquisition costs, increases margins and increases barriers to entry, without the corresponding marginal costs.

President & CEO - Herman Tumurcuoglu
Herman completed his Marketing BCom in 1995 at the AACSB-accredited Concordia University in Montreal and followed it with a Masters Degree in Management at Carleton University. Specializing in marketing in hypermedia computer-mediated environments, he joined Globalmedic as an Internet Marketing specialist. Herman has been involved in special Internet projects for over 5 years and has gained valuable insights in new media success factors. He has in-depth technical knowledge as well as extensive contacts in the field of new media. As founder, President and CEO of Mamma.com, Herman oversees the Company’s strategic vision and corporate development.

COO & CFO - V. Simon Aznavour
Simon holds an MBA in Management and Finance and a BCom in Economics and Political Science from Concordia University. He has held executive positions in several companies, ranging from communications, investment management and real estate to high-tech start-ups. In these ventures, he has developed and executed strategic and financial plans and processes. He has been involved in the introduction of new technologies, change management, business promotion, treasury, procurement, financing, marketing and sales at national and multi-national companies. Simon is presently a director of the Masterfile Corporation in Toronto, and Nova Molecular Inc. in Montreal. Simon oversees the strategic execution of the company’s business model.

Vice-President, Sales - Andrew Morgan
Andrew started his new media career in New York's Silicon Alley where he developed his skills working at InterActive 8, a premier Web Development Company, and InfoSeek (Nasdaq: SEEK). Prior to that, while earning his BA from Concordia University, he started one of the first website design and hosting companies in Montreal back in 1995. His recent move to Mamma.com was from DoubleClick, the global Internet advertising solutions company (NASDAQ:DCLK), where he headed up Business Development in the Montreal office. The combination of Andrew's commitment to marketing on the Internet and entrepreneurial enthusiasm has made him a well-sought-after talent. His wealth of resources and talents are proven effective in any endeavor in which he participates. Andrew’s action plan is to leverage the network to increase sales revenue.

Senior Programmer - Qinghe Sun
Qinghe has a degree in computer science from Concordia University and is a Ph.D. candidate in Mathematics at the University of Montreal. He has industry experience in object-oriented programming and Internet applications. Qinghe’s role is to help develop new application extensions for Mamma.com’s search engine technology.

Director of Sponsorship and Advertising - Mitch Joel
Publisher, entrepreneur and marketing guru, Mitch owned and operated one of the first publications ever to go online back in 1994. An avid computer junkie, reader and editor, Mitch's communications skills and hypermedia marketing concepts have helped propel Mamma.com's advertising sales force into a multi-million dollar revenue generating team. Active participation in online advertising, marketing conferences and discussions make Mitch an intense and committed e-marketer.

Director of Mamma Solutions - Carl Brabander
Carl provides Mamma.com’s management team with proven experience in critical aspects of strategic planning, client acquisition, retention and new product development. An MBA in Marketing and e-Commerce from Dalhousie University, Carl previously worked as a Business Analyst with the Loyalty Group/Air Miles. Since, joining Mamma.com, Carl has played a substantial role in expanding Mamma.com’s roster of partners and affiliates. Currently, Carl is leading the company’s new Licensing division, Mamma Solutions, which offers tailored, sophisticated search solutions to clients in various market sectors.

Director of Business Development - Patrick Hopf
Patrick Hopf comes to MAMMA.COM with ten years of corporate management experience. His technical background combined with proven sales and management experience plays a critical role in enhancing Mamma.com’s revenue growth and product offering.

Manager of New Product Development - Lucas van den Heuvel
Lucas arrived at Mamma.com in November 1999 as a new recruit to the Internet world. Spending an exhilarating first month in the sales department, Lucas started off the New Year in his new home with the Business Development Team. Since then, his responsibilities have grown to include the development and stewardship of the company's newest initiative, the Online Co-Brand Program. In this role, Lucas continues to work closely with the technical team on product development initiatives. Lucas has an acute interest in motivation and organizational behavior, and has found the Internet industry to be the most dynamic medium through which he can pursue that knowledge. Lucas holds a Bachelor’s Degree in Biopsychology from the University of British Columbia.

  • Private-Label Meta-Search Engine: The ideal solution for clients seeking the benefits of a fully branded 'turnkey' search solution for their website. This solution adds tremendous value for website operators with regard to their product offering while increasing brand equity. These benefits translate into additional visits, page views and incremental revenue.

  • Integrated Directory Meta-Search Engine: The ideal solution for vertical portals that wish to include their own content into the search results set. Website operators derive tremendous value from this solution because they can direct end users to specific areas of their site based on the keywords that they enter.

  • Search Results Distribution: This category was initially developed to meet the need of web properties that operate proprietary databases or paid search result directories. In many cases these sites may need to supplement their growing databases with search results for many or even most of the queried keywords/phrases. By displaying search results from Mamma.com, the client can provide a more comprehensive end-user experience with unlimited content. These supplementary results can be customized to meet specific site needs related to the type of content, such as providing only Italian or Technology-related content.

  • Online Co-Brand Meta-Search Engine: Provides any website with its own semi-customized Meta-Search Engine (over 30 customizable elements) right from the Mamma.com website at www.mamma.com/acb/. This product is also distributed through third parties and is Mamma.com’s strategy for community websites and webmaster resource portals. An additional benefit is the minimal cost of adding new partners through this initiative; it is operational 24/7 and requires no human intervention.

  • Filtered Results Meta-Search Engine: The way to provide family-safe content (no adult search results), a new addition to the Mamma.com Product Portfolio. This product will utilize filtering technology to ensure that the Meta-Search results generated by the search engine do not include adult content.

  • Regional Meta-Search Engine: Arising out of an increasing trend towards localized content this search solution was developed to address the needs of geographically defined vertical portals. It utilizes Meta-Search technology and keyword filtering to narrow down the search results set to content relevant to a specific region. This allows a city or state portal to provide a Search tool that would generate Search Results relevant to that city or state only. We launched in April 2000.

  • Customized Meta-Search Engine: Whatever the client needs from A to Z, we can custom develop them at a minimal cost in a very short time. Because of its flexible and scalable technology, Mamma.com can quickly design specialized Search Engines for upfront development fees and monthly licensing fees. Mamma.com has done a number of projects in this area including specialized category Meta-Search Engines, country specific Search Engines, component specific Search Engines and many others.

  • Mamma Wireless Solutions: Mamma.com has taken our proven meta-search technology and leveraged it to return the best search results from the wireless web at our 62662.com web site. 62662.com's wireless meta-search technology is designed to fit seamlessly into a company's existing wireless framework, allowing them to choose the information sources end-users can view, how information is displayed, the search types that appear and add preferred search results to the queue of returned results.

Financials

After newly-injected financing in November 1999, the Company’s revenues rose exponentially from 1998 and exceeded our projections. The first quarter of 2000 nearly eclipsed total 1999 revenues. Second quarter results showed considerable year-over-year revenue and traffic growth. As the scope and breadth of the Mamma.com Network increases, the company’s revenues will continue to soar while associated expenses level off.

Laurent Nadeau - Businessman & Entrepreneur
Mr. Nadeau, a veteran of the high-tech industry for the last three decades, has guided several R&D; start-ups as investor, President and CEO. He has helped transform such companies into major private and public companies. In addition to his vast business experience, Mr. Nadeau has extensive contacts in the high-tech and financial sectors, as well as in government circles. Mr. Nadeau brings to the Mamma.com board the experience of "high-tech" business successes, as well as insights and long-term vision.

Daniel S. Miller - Legal Councel, Mamma.com
Mr. Miller is a Member of the Quebec Bar and a Governor of the Foundation of the Bar of the Province of Quebec. He has been the managing partner at Goodman, Philips and Vineberg, a Canadian law firm with a global business base throughout Canada, the US, Europe and the Far East. Mr. Miller has been involved with numerous public and private corporations. He is an elected member of the Council of the Municipality of Ivry-sur-le-Lac and Director of the Festival des Arts de Saint-Sauveur.

Steve Saviuk - Chairman & CEO, Intasys
A twelve-year veteran of the venture capital world, Mr. Saviuk has worked closely with technology companies in strategic planning, structuring financing, attracting management and buy-out negotiations, among other activities. At Intasys, along with a highly qualified management team, he has re-focused the direction of the company and has established an investment program operated by its recently inaugurated "incubator" division. Recently announced investments of Intasys include acquisitions of significant interests in Mamma.com, interWave Communications Inc, a leading manufacturer of micro-cellular switches, and TEC TechnologyEvaluation.com Corporation, a highly sophisticated Web-based technology evaluation firm.

Claude Beauregard - President & COO, Intasys
Engineer by profession, Mr. Beauregard has extensive business experience in communications, as well as cable and wireless industries in technical and sales capacity. He started at Northern Telecom and has held management positions at Farinon Canada, Harris Farinon Canada and Look Communications. Mr. Beauregard is a member of the Order of Engineers of Quebec.

Daniel Morissette - Vice-President Technology, Intasys
