Terms & Conditions   for  allotment  of   units.

1.  The  units  are located  at   the F & G Blocks,   Flatted  Factories  Complex, Rani Jhansi  Road, Jhandewalan, New Delhi,  as  per  following  details  :-

2.  The  applicant   must  be   an    exporter  or a domestic  manufacturer.   The  application   may be  made   on  plain  paper/letter head   of  the  applicant  as per format enclosed at Annex A accompanied by a non interest bearing earnest Money Deposit of Rs 1 Lakhs (Rupees One lakh only) by way of D/D in favour of “ MMTC Limited” .

3.  The  details  of    exports / manufacturing   during  the  last  three  years,  duly  certified   by  a  Chartered  Accountant   should  also  be  enclosed with the application .

 4.      The details of  units offered for allotment are as under :

5.  All the six units shall be put up for allotment to eligible bidders who are agreeable to pay the one time lumpsum allotment fees over and above the monthly rental . The successful bidder are allowed the flexibility to pay 50 % of allotment fee immediately and the balance  50 % in 12 equated monthly installments on furnishing a bank guarantee  . The balance 50 % will be secured by a Bank guarantee in favour of MMTC Limited and interest will be charged @ 11.25 % on the outstanding allotment fee till full payment is received. 

6.  The eligible bidders will be ranked in the following order of priority :

i) Gem & Jewellery Export Oriented Units

 II)  EOU units other than Gem & Jewellery .

 III) Units in Domestic Tariff Area(DTA).

IV) Domestic Jewellery manufacturers

V)  Manufacturing units in any other sector.

Preference will be given in terms of the above ranking. Separate bids are invited for the above categories of exporters/manufacturers. Priority in allotment would be given to Gem&Jewellery Export Oriented Units.  Only if there are no bidders left for allotment of in the first category(Jewellery EOU), bids of other EOU’s will be considered followed  by bidders from  DTA Category . Only in the absence of eligible bidders in category I,II and III the  bids of Domestic Jewellery manufacturers will be considered followed finally by manufacturing units in any other sector .   If  more than one bids are received in each category , then the successful bidder will be decided by draw of lots while maintaining the priority of allotment . 

7.  The  applicant  shall   enter  into  a  lease  agreement   with MMTC Limited   as  per  format   at   Annexure-II. 

8.  Presently,  the  units  are   on  lease  from   Delhi  State  Government  at  a  nominal  lease  rent   of  Rs.  30/- per  Sq. mtr  which will be  charged   from  the  allottees in  addition  to  Rs. 10/- per  sq. mtr per  month being  custodian  charges payable  to  MMTC.  However,  the  rental   is  the  subject  matter  of   an  on-going  arbitration  which  may  enhance  the  rental  so  that   Government  does  not  suffer any  loss on account  of   unreasonably  low  rental.   The  allottees  shall undertake  to  pay   the   enhanced  rental as may be decided by Delhi  Government ,in addition  to  the   custodian  charges,  immediately  on  demand  from the date of taking possession .

9.  The  six  units  have  certain  old  electricity  dues  pending.   The  allottees  shall  settle  these  dues   directly  with   DVB/Electricity Department  and  obtain  fresh  electricity  connections.  Details of outstanding electricity dues of six units may be obtained from MMTC Jhandewalan .

10.       The  allottees must   take  over  possession   of  the  allotted       unit  within  60  days  of  allotment  failing  which   the  allotment  will  stand  cancelled  . 

11.       For  taking  over  possession,   the  allottee  shall   enter  into  the  lease  agreement  as  per clause 8  above and   pay   the  lump sum  allotment  fees to  MMTC Limited, New Delhi. The  rent   shall be  payable   from  the  date  of   taking  over  possession .

12.       In  respect  of  the  unit  at  serial number-3  at  para-1  above,  the  unit  contains   furniture  and  furnishings,   jewellery  manufacturing  machines  and  equipments,  air-conditioning  etc., (list enclosed at  Annexure-III)  for which  the  applicants   must  submit   a  separate  sealed   bid   giving   a lump sum  amount   for  the  entire  contents   of  the  unit  on  as  is  where  is  basis.

13.       None  of  the  contents/machinery etc   of  the  unit   shall  be  permitted  to   be  taken  out   from  the  unit   without  customs  clearance  and  payment  of  duty  if  leviable. 

 14.The  applicants  can  inspect  the  units  on  any  working  day  (Monday to  Friday)  between  10.00 A.M. to  4.00 P.M.  by  obtaining  prior  appointment  from  General Manager, MMTC  Limited, Jhandewallan Jewellery Complex , Rani Jhansi Road , New Delhi-55 ( Phone  No.  23623950).

15. The  last  date  of  submitting   duly  completed  applications  alongwith  EMD  at  the O/o  Development  Commissioner,  NSEZ,  Noida Special Economic  Zone,  Noida-Dadri Road,  Noida,  shall  be 04th  June  2004  (upto   1600 hrs).

16.The Development Commissioner reserves the right to accept or  reject any or all applications without assigning any reason whatsoever .  

Annex I

Application for allotment of units at Jhandewalan Jewellery Complex

We confirm having read the terms and conditions for allotment of units at Jhandewalan Jewellery Complex and agree to abide by the terms stated there in.

Annexure II
LEASE DEED

   This  indenture  of  lease   is  made  this  _______day  of   _________2004  between   MMTC  Limited,  hereinafter   called   the  lessor  which  expression  shall   unless  excluded  by    or  repugnant   to  the  context,  be  deemed  to  include   its   successors   in  office   and  assigns  of  the  first  part   and   _________________________having  its   registered  office  at  _______________________________  hereinafter  called   the  lessee  which  expression  shall  unless  excluded  by   or  repugnant  to  the  context   be  deemed   to  include   his/their   heirs,  executors,  administrators  and  assigns  of  the  second  part. 

     Whereas,   the  Lessor  is  in  possession  of   a unit,  __________________(address  of  unit).

     Whereas,  the  Lessor  proposes   to  give  on  rental  the  said  unit.

     Whereas,  at  the  request  of  the  Lessee,  the  Lessor  has  agreed  to  give  on  rental  basis,   the  above  unit   alongwith all  fixtures  and  fittings as  per  terms, conditions  and   manner  hereinafter  appearing. 

NOW THIS  INDENTURE WITNESSETH  AS  FOLLOWS 

1.  In  consideration  of  the  rent  hereinafter  reserve the  Lessee  hereinafter  contained,   the  Lessor   does  hereby  demise  unto  the  Lessee  the  unit  _________________(address  of  the  unit)  with an  area  of   _______Sq. Mtrs  including  passage,  corridor,  common  area  together  with  all  rights,  easements  and   appurtenances  whatsoever  to  the  said  unit   belonging    or  appertaining   to  hold   the  premises   hereby  demised   unto  the  Lessee   for  a  period  of  five  years  from  _________day  of  ___________2004  yielding  and  paying  therefor  monthly  rent  payable  in  advance  of  Rs. _______/-   (Rupees ____________________________). 

2.  THE LESSEE HEREBY  COVENANTS  WITH  THE  LESSOR   AS  FOLLOWS :

a.  That  the  Lessee  shall   duly  pay  by  cheque  the  rent  in  advance   reserved  hereunder  by  the  7th  day  of  the  month  at  the  office  of  the  Lessor.   If  however,  the  Lessee  fails  to  pay  the  rent,  for  any  particular  month  he  shall  be  liable  to  pay  interest   on  the  arrears   thereof   at  15%  per  annum  from  due  date  to  the  date   of  payment .

b.  That  the  Lessee  shall during  the  said  term,   i.e.  the  lease  deed  term  pay  all   central,  local  bodies   and  DDA  taxes,  rates, assessments  and  other  charges   and  out-going   payable   or  hereafter  to  become  payable   in  respect  of   said  unit.

c.  That  Lessee  shall  obtain  his  own   electric  connection  from  the  concerned   local  body.   The  Lessee  shall  pay  consumption   and  other  charges   in  respect  of  electricity  consumed   by  him  to  the   concerned  authority  directly,   as   may  be  assessed   and  become  payable  as  and  when  demanded.

d.  That  the  Lessee  shall  not  carry  out   any  additions/alterations   to  the  said  premises  without  obtaining   prior  written  consent  of  the  Lessor   and   Delhi State  Government.  Such consent  may  be  refused   if  the  same  is  considered   undesirable   or  unsafe  and  violative  of  established  regulations.    Any  additions/alterations  carried  out  by  the  Lessee   shall  be  subject  to  removal   on  the  expiry  of   the said  term  at the  cost  of  the  Lessee  and  the  Lessee   shall   restore  the  premises  to  the  Lessor   in  original  condition.    Should  the  Lessor  not  insist  on   removal   no  compensation  or  expense   incurred  by  the  Lessee  will  be  payable  by  the  Lessor.  

e.  That  the  Lessee  shall   use the  said   premises   solely   for  the  purpose  of   establishing  industrial  unit  for  manufacturing  and  export  of   gems  and  jewellery or  other  items.  

f.   The  Lessee   shall  not   sub let  or  sub lease   the  unit.

g.  That  the  Lessee  shall   ensure   and  keep  insured   the  said  premises   in  the  name  of  the  Lessor  and  shall  at  all  times   during  the  said  term  keep  the  same   insured   independently  and  separately  against  loss   or   damage   by   fire/riots    and   all   other   risks    as    the  Lessor  may  require for  an  amount  of  Rs.  _______ (Rupees ______________________)  and  shall  deposit  with  the  Lessor   all  such  insurance  policies  and  receipts  for  payment  of  the  premium  in  respect  of  the  same. 

h. That  the  Lessee  shall  comply   with  all  rules  and  regulations   in force  from  time  to  time   relevant  to  the  use  of  the  said  premises.

i.   That  the  Lessee  shall  keep   the  unit   in  an  entirely  sanitary  condition  subject  to  the  satisfaction  of  the  Lessor  and  the  Municipal  Authorities  concerned  and  shall  arrange  for  day  to  day   removal  of   factory  waste  at  his  own  cost. 

j.   That  the  Lessee  shall  deliver  the  possession  of  the  unit    to  the  Lessor at  the  expiry of   the  said  term  or  earlier  determination   thereof.

k.  That  the  Lessee  shall   permit  the  Lessor   or  any  person   authorized   at  any  time   during  usual  business  time   to  inspect   the  said  premises   and  render  them    any  assistance   that  may  be  required   and  furnish   any  information   relating  to  the   premises as  required.   

l.   That  the  Lessee  shall  have  the  right  to  use   the  common  passages  and  common  services  alongwith  other  Lessees  in  the complex   provided   the  said  use  does  not  constitute   any  obstruction   or  cause    inconvenience  to  other   Lessees  or   does  not  in  any  way  encroach  upon   the  said  common  passages  or  service.

m. That  the  Lessee  shall  be  handed  over   the  said  unit  on  “as  is  where is basis”.   The  Lessor   shall   have  no  obligation  to  compensate  the  Lessee  on  account  of  internal  maintenance   etc.,  in  any  manner  required whatsoever. 

n.  That  the  Lessee  shall   abide  by  the   arbitration  award   presently  on-going   between   the  LESSOR  and  Delhi  State  Government   in  respect  of   the  rate  of   rental,  interest  etc.,  and  pay  immediately  on  demand   to  the  Lessor   the  amount   as  required  to  be  paid   by  the  Lessor  to  the   Delhi  State  Government  in  respect  of  the  said  unit  from  the  date  of  taking  possession.

3.  All  disputes  and  differences  arising  out  of   or  in  any  way  concerning  this  lease  deed   shall  be  referred   to  the  sole  arbitration  nominated  by   the  Chairman-cum-Managing  Director, MMTC Limited.  The  decision  of  the  arbitrator  so  appointed   shall  be  final  and  binding     on  the   parties.

4.  All  notices,  orders,  directions,  consents   or  approvals   to  be  given  under  this  deed  shall  be  in  writing  and  shall  be  considered  as  duly  served   upon  the  Lessee   if  the  same  shall   have  been  affixed  to  any  building  or  erection   whether  temporary  or  otherwise  upon  the  said  premises   or  shall have  been  delivered  at  or  sent  by registered  post   to  the  then  residence, office or  place  of  business   or  usual   or  last  known   address  of  the  Lessee. 

5.  It  is  hereby  agreed   and  declared  between  the  parties  as  follows  :-

     That  both  the  Lessor  and  the  Lessee  shall  be  at  liberty   to   terminate    the  lease   by  giving  to  the  other  party   a  clear   six  calendar  months  notice   in  writing  duly  served  as   per  previous  clause  thereon.

6.  That   the  cost  and  expenses    incidental  to  the  preparation,  execution  and  registration  of  this  deed  shall  be  born  and  paid  by  the  Lessee.

7.  In witness  whereof  Sh. ______________________ (designation)  for  and  on behalf  of  and  by  the  order  and  direction  of  the  Lessor   and   M/s. _________________________,  the  Lessee  have   hereunto  set their  hands   respectively,  the  day  and  year first  above  written.
