Official Rules for the "Get Your Music Featured on
Snakes on a Plane" Contest
By participating in the TagWorld - New Line Snakes on a PlaneSoundtrack Contest (the "Contest"), each entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and with the decisions of "Sponsor" (defined below), whose decisions shall be final and binding in all respects.
Sponsors: TagWorld, Inc. ("TagWorld"),825 Wilshire Blvd., #229, Santa Monica, CA 90401 and New Line Productions, Inc. ("New Line"). TagWorld and New Line collectively are referred to herein as "Sponsor."
Eligibility: Any musician or band meeting the eligibility requirements can enter the Contest. To be eligible to enter the Contest, a contestant must be: (a) a legal U.S. resident at least eighteen (18) years of age and residing in the U.S. at the time of entry; (b) a registered artist on TagWorld's Web site (http://www.TagWorld.com) and in compliance with TagWorld's Terms of Service agreement located at a href="http://www.tagworld.com/-/Signup/termsofservice.htm" target="_blank">http://www.tagworld.com/-/Signup/termsofservice.htm; (c) able to grant Sponsor all rights (including master, synch, and other rights) necessary for Sponsor, if Sponsor so chooses, in its sole discretion, to use the submitted recording of the winner's musical performance ("Music Track") in or in connection with New Line's "Snakes on a Plane" motion picture (the "Picture") , the soundtrack album for the Picture, and any other ancillary or related materials as determined by New Line and TagWorld, without violating any contractual arrangements by which the contestant (or, if a band, any member thereof) is bound; and (d) in possession of all intellectual property and other rights necessary to grant the above-mentioned rights to Sponsor without having to obtain any additional licenses, clearances, or approvals from any third party in relation to the Music Track. Employees, officers, and directors (and their immediate family members and persons living in their same household) of Sponsor, its affiliates, and its advertising and promotion agencies, may not participate in the Contest. The Contest is void outside the U.S., in Puerto Rico, and where prohibited by law.
Entry: No purchase is necessary to enter the Contest. To enter, submit your Music Track at www.tagworld.com/snakesonaplane. You must provide all required information and material including your first and last name, email address, home address (including your street, city, state and zip code) and your date of birth (day, month and year). Sponsor reserves the right to determine, in its sole discretion, which entries have satisfied the entry requirements. Sponsor will not notify contestants whether or not their entry has been rejected or accepted.
Submitted Content: "Content" includes, to the extent applicable: (a) any Music Track, information, and/or other material submitted by you (or band) in connection with the Contest; (b) your (and/or your band's and each band member's) name, likeness, voice, and image; and (c) all photographs, recordings, audiovisual materials, biographies, writings, statements, and quotations of or by you (or your band) and furnished to Sponsor by you (or your band). Do not submit any Content of anyone other than yourself or your group. By submitting Content, you represent and warrant to Sponsor that: (i) the Content is wholly original with you and/or your band and does not infringe upon, misappropriate, or otherwise violate any copyright, trademark, or other proprietary right of any other person or entity; (ii) you have all rights necessary to submit the Content in the Contest and grant the rights being granted herein, in accordance with these Official Rules; and (iii) no party other than you or your group has any right, title, or interest in and to the Content or any part of the Content. If you are submitting Content on behalf of a band, you represent and warrant to Sponsor that you have the authority to act on behalf of the band. Content must not contain offensive or lewd content. Music Tracks submitted, if applicable, must not be longer than 5 minutes. All tangible Content submitted will become Sponsor's property and will not be returned. By entering the Contest, for good and valuable consideration, the receipt and legal sufficiency of which is hereby acknowledged, you hereby irrevocably grant, transfer, sell and assign to Sponsor, its successors, assigns and licensees, a perpetual, fully-paid, non-exclusive right and license to perform, reproduce, prepare derivate works of, distribute, display, exhibit, transmit, broadcast, televise, digitize, exploit and otherwise use, and grant others the right to so use and perform, the Music Track (including the sound recording, words and musical composition contained therein) and other Content in synchronization or time-relation to the Picture or otherwise, and to make phonorecords or copies thereof for distribution, performance, exhibition, promotion, publicity and exploitation throughout the universe in any and all media, now known or hereafter devised, in any manner, form, or format now known or hereinafter created, including without limitation on the Internet, and for any purpose, including, but not limited to, any use in or in connection with the Picture, and any advertising or promotion thereof or of Sponsor and its services, all without further consent from or payment to you (or your band or any other members of your band). You agree that Sponsor has no obligation to post your Content on the TagWorld Web site or otherwise use any submitted Content You agree, that Sponsor shall have the right, in its sole discretion, to use, edit, alter, re mix, adapt and change the Content, including the Music Track or any part thereof; and to combine the Music Track with works of others for any purpose which Sponsor deems necessary or desirable, and you irrevocably waive any and all so-called moral rights or any similar rights or principles of law you may have in connection with Sponsor's use of the Music Track. Sponsor reserves the right to limit the number of contestants whose Content is posted on the TagWorld Web site and to remove contestants whose entries have already been posted in the event of an error or determination that the contestant is ineligible to participate in the Contest. In addition, you understand that Sponsor reserves the right to use yourname (and your band's name) and other Content on the TagWorld Web site in connection with the Contest.
Contest Period: The contest submission period will begin on March 15, 2006, at 12:01 a.m. Pacific Standard Time ("PST") and end on April 11, 2006, at 11:59 p.m. PST (the "Contest Period"). Sponsor’s database clock will be the official time-keeping device for the Contest. No Contest entries will be accepted before or after those dates/times unless Sponsor elects, in its sole discretion, to modify the Contest period.
Selection of Winner: After the Contest submission period ends, TagWorld will select the top entries eligible for inclusion on the TagWorld Member voting page to be located at http://www.tagworld.com/snakesonaplane (or other location announced by Sponsor). The voting period will begin on April 19, 2006 at 12:01 a.m. PST and end on May 23, 2006 at 11:59 p.m. PST. During this voting period, registered TagWorld users ("TagWorld Members") will be able to visit the voting page to review and vote for Contest entries. After the voting period ends, TagWorld will select as finalists up to twenty five (25) entries that have received the highest number of votes. From these finalists, New Line in its sole discretion will select the winning entry. New Line's selection of the winning entry shall be final and binding and not subject to appeal. On or about June 1, 2006, Sponsor will announce the winning entry on the TagWorld Web site. There will be only one (1) prize winner (as further set forth below). The winner will be notified by phone or e-mail using the contact information provided at the time of entry. If a prize notification is returned as undeliverable or the winner otherwise cannot be readily contacted, the prize will be forfeited and will be awarded to the runner-up if feasible, and if not feasible to another eligible contestant as determined and selected by Sponsor in its sole discretion. As a condition to receiving the prize, the winner will be required to sign and return to Sponsor within ten (10) days a license agreement, affidavit of eligibility, liability release and publicity release, along with such other documentation as Sponsor may require in its sole discretion. If the winner does not timely complete and return such documentation, New Line may select another winner. A list of the winner(s) is available by sending a written request and a stamped, self-addressed envelope to Sponsor at 825 Wilshire Boulevard, #229, Santa Monica, CA 90401, Attention: TagWorld-New Line Snakes Contest.
Prize: Assuming all necessary clearances have been obtained, as determined by New Line in its sole discretion, the winning Music Track will appear on or be heard in connection with , the soundtrack album for the Picture, and any other related materials as determined by New Line and TagWorld. The potential winner must execute a a license agreement reiterating the grant of the rights contained herein in order to be formally chosen as the winner. The approximate retail value of the prize shall be deemed to be $500 for purposes hereof. No alternative prize, cash, or other substitution is permitted except in Sponsor's sole discretion, in which case a prize of equal or greater value will be provided. Prizes are non-transferable and may not be sold or otherwise exploited for any commercial purpose. Any prize won by a minor may, in Sponsor’s sole discretion, be awarded to his/her parent or legal guardian, who must sign any documentation required by Sponsor. If a prize includes travel, a minor must travel with a parent or legal guardian, at such parent or legal guardian’s own expense if the prize does not include a companion transportation ticket. You agree that Sponsor shall not be responsible for injuries, damages, or losses of any kind resulting from acceptance or use of the prize. All federal, state, and local taxes associated with the receipt or use of any prize are the winner's sole responsibility. All prizes are awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).
FURTHER DOCUMENTATION. If Sponsor shall desire to secure additional assignments other documents as Sponsor may reasonably require in order to effectuate the purposes and intents of these Official Rules, then each entrant agrees to sign the same upon Sponsor’s request therefor.
NO OBLIGATION TO USE. Sponsor shall have no obligation (express or implied) to use the winning Music Track or continue the use or exploitation thereof, and Sponsor may at any time abandon the use of the winning Music Track for any reason, with or without legal justification or excuse, and the person or band who submitted the winning Music Track shall not be entitled to any damages or other relief by reason thereof.
NATURE OF RELATIONSHIP / WAIVER OF EQUITABLE RELIEF. Each entrant hereby acknowledges and agrees that the relationship between the entrant and Sponsor is not a confidential, fiduciary, or other special relationship, and that the entrant’s decision to provide the entrant’s Content to Sponsor for purposes of the Contest does not place Sponsor in a position that is any different from the position held by members of the general public with regard to elements of the entrant’s Content. Each entrant understands and acknowledges that New Line has wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by its own employees. Each entrant acknowledges and agrees that such entrant will not be entitled to any compensation as a result of New Line's use of any such similar or identical material that has or may come to Sponsor from other sources. Each entrant acknowledges and agrees that New Line does not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the entrant’s copyright in and to the Music Track. Finally, each entrant acknowledges that, with respect to any claim by entrant relating to or arising out of New Line's actual or alleged exploitation or use of any Music Track or other Content or material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable entrant will not be irreparable or otherwise sufficient to entitle such entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition or other exploitation of the Picture or any other production based on or allegedly based on the Music Track, and entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.
General Conditions: Sponsor is not responsible for and shall not be liable for: (i) misdirected, lost, or delayed e-mail or other communications; (ii) telephone, telecommunications, computer, other hardware, or software malfunctions, failures, or difficulties of any kind; (iii) any condition caused by events beyond Sponsor’s control that may cause the Contest to be disrupted, corrupted, or terminated; or (iv) any printing or typographical errors in any Contest-related materials. Sponsor reserves the right to change these Official Rules at any time, in its sole discretion, and to modify, extend, suspend or cancel the Contest or any contestant's participation in the Contest should viruses, bugs, unauthorized human intervention, or other causes beyond Sponsor's control affect the administration, security, or proper play of the Contest or Sponsor otherwise becomes (as determined in its sole discretion) incapable of running the Contest as planned. Contestants who violate these Official Rules, tamper with the operation of the Contest, or engage in any conduct that is detrimental or unfair to Sponsor, the Contest, or any other contestant (in each case as determined in Sponsor's sole discretion) are subject to disqualification from entry into the Contest. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to enter the Contest. Contestants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. In the event that any provision of these Official Rules is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. All issues concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the participants, shall be determined by Sponsor in its sole discretion and governed by California law. Contestants shall submit to the exclusive, mandatory jurisdiction of the state and federal courts located in Los Angeles, California. Sponsor does not make any representation, warranty, or guarantee, express or implied, relating to the Contest. By entering the Contest, you release Sponsor, participating sponsors and any of their respective parent companies, subsidiaries, affiliates, directors, officers, employees and agencies (collectively, the "Released Parties") from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Contest, any failure on your part to fully comply with these Official Rules, or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory.

Snakes on a Plane stars Samuel L. Jackson as an FBI agent who is escorting an eye witness on a flight from Hawaii to Los Angeles when a crimelord sets in motion the release of hundreds of deadly snakes on the commercial airplane in order to eliminate the witness before he can testify against him. The FBI agent must protect his witness while banding together with the pilot, frightened crew and passengers in a desperate attempt to survive.
