Gene W. Ray, Ph.D. – Chairman, Global Secure Corp.

Dr. Ray joined our board of directors as the chairman of the board in August 2005. Dr. Ray, a founder of the Titan Corporation, served as chief executive officer and a director of the corporation since the company's inception in May of 1981. Dr. Ray served as President from May 1981 to May 2002 and was elected as chairman of the board in April 1999 until his resignation in July 2005.

Prior to launching Titan, Dr. Ray was executive vice president, general manager and a director of Science Applications International Corporation, Inc. for eleven years. Dr. Ray served for two years as chief, Strategic Division, U.S. Air Force. He held the position of senior appointee (Public Law 313) on the staff of the chief of staff of the U.S. Air Force, where he led a team of military and civilian analysts and scientists. Earlier in his career, Dr. Ray was with the Aerospace Corporation where he contributed to weapon system analysis programs and specialized in the area of nuclear survivability.

Dr. Ray received a Ph.D. degree in theoretical physics from the University of Tennessee in 1965, a M.S. degree in physics from the University of Tennessee, and a B.S. degree in mathematics, physics and chemistry from Murray State University in 1960.

Craig R. Bandes - President, CEO, Director, Global Secure Corp.

Mr. Bandes is responsible for setting the strategic direction of the company, overseeing the operations of the Global Secure Systems, Global Secure Training and Global Secure Safety divisions, and driving the company's growth both organically and through acquisitions.

Prior to joining Global Secure, Mr. Bandes had more than a dozen years of experience as an entrepreneur, venture capitalist, and investment banker. His previous experience includes helping to build companies in the telecommunications, financial services, and professional services industries. He has negotiated numerous strategic transactions and partnerships in Asia, Europe, and the United States. Most recently, Mr. Bandes was the President/CFO and co-founder of Focus Technology Consulting, LLC, a firm specializing in process and technology consulting. Prior to starting Focus, Mr. Bandes was the senior vice president of corporate development for NETtel Communications, where he helped to grow the company to over 600 employees and raised over $250 million from strategic and financial investors.

Mr. Bandes has been a guest speaker on the topics of entrepreneurial innovation, raising and using venture capital, and building valuable strategic partnerships at the Columbia Business School, the Stern School of Business at New York University, the Smeal school of Business at Pennsylvania State University, the University of Maryland School of Engineering, and the MIT Enterprise Forum. Mr. Bandes received degrees in Finance and Entrepreneurship from Babson College.

Charles A. Hasper, Chief Financial Officer, Director, Global Secure Corp.

CCharles A. Hasper joined us as our Chief Financial Officer and a director in July 2005. From August 2001 until July 2005, Mr. Hasper was the Chief Financial Officer and Treasurer of Allied Defense Group, Inc., a company listed on the American Stock Exchange that holds various defense and security businesses. Prior to that, Mr. Hasper was the Washington-based partner of Carroll-Kapfhamer Capital Partners LLC, an Atlanta-based investment banking firm, from April 1998 until August 2001. At Carroll-Kapfhamer Capital Partners, Mr. Hasper was responsible for managing both buy-side and sell-side transactions. Mr. Hasper graduated magna cum laude, with a B.S. degree in Accounting, from West Liberty State College in 1980, and he received a M.B.A. degree from the University of Maryland in 1988. Mr. Hasper has been a member of the American Institute of Certified Public Accountants since 1985.

Eric S. Galler, Senior Vice President, General Counsel and Secretary

Mr. Galler directs the legal function of the Global Secure group of companies, including oversight of contract negotiations, legal compliance and strategic ventures. He joined Global Secure in January 2005. Before joining Global Secure, Mr. Galler was counsel at Wilmer Cutler Pickering Hale and Dorr LLP. He has expertise in mergers and acquisitions and other strategic financing transactions, having represented companies in numerous middle market transactions, mostly ranging in size from $20 million to $250 million. Mr. Galler graduated summa cum laude from The Washington College of Law, The American University in 1994.

Eric D. Shaffer, President, Global Secure Systems

Mr. Shaffer has served as President of Global Secure Systems since March 2005. Prior to that Mr. Shaffer was an Exectuive Director of Virtual Alert from November 2001 until it was acquired by Global Secure Corp. in February, 2005. Before joining Virtual Alert, Mr. Shaffer held various sales positions with Dell Inc. from 1990 through January 2001 including State and Local Account Executive for DellWare. Mr. Shaffer attended the University of North Texas.

Timothy J. Czysz, President, Global Secure Training

Mr. Czysz has served as President of Global Secure Training since March 2003. Prior to that Mr. Czysz was the Vice President and Chief Operation Officer of HazTrain from July 2002 until acquired by Global Secure Corp. in December 2003. Mr. Czysz joined HazTrain in 1995 and assumed substantial responsibility for managing its day-to-day operation beginning in 1999 and served as the General Manager from January 1999 to July 2002. Mr. Czysz receive and A.S. degree from Jamestown Community College in 1988 and a B.S. degree from the Florida Institute of Technology in 1991, where in majored in Environment Engineering.

Jack Sawicki, Vice President Business Development, Global Secure Corp

Jack Sawicki has over 30 years of emergency response, training, research and development, and sales experience in the Homeland Defense arena. Operational experience includes wildland firefighting with the US Forest Service, wilderness rescue with the National Park Service, and fire/rescue technician with Alexandria, VA Fire Department. Mr. Sawicki also worked for the International Assn. of Fire Fighters, where he managed the technical development of the NASA/FEMA Project Fires Program and helped developed the NFPA SCBA, Protective Clothing, Gloves, Boots, and HAZMAT Personal Protective Equipment standards. Prior to joining Global Mr. Sawicki was Technical Director for Homeland Security for Versar Corporation. At Versar, he oversaw anthrax testing, and building decontamination, which included a 60,000 sq. ft. mail facility, and the Former Soviet anthrax dumpsite. Mr. Sawicki was also Director of Business Development for the Versar GEOMET Division, a premier developer of HAZMAT PPE for the DoD, and acted as Safety Officer for the GEOMET chemical and biological defense laboratories.

Previous to joining Versar, Mr. Sawicki was Senior Consultant for Protective Systems for Arthur D. Little (now Tiax) in Cambridge, MA. Prior to joining ADL, Mr. Sawicki was Director of Training for Dynamac Corporation, and was responsible for HAZMAT training for the Defense Logistics Agency worldwide. Mr. Sawicki holds a BS in Biology from George Mason University and an MS from Georgetown University, and lives in Arlington, VA, where he has been EMS Commissioner and Local Emergency Planning Committee member and was a member of the DoD/DOJ Interagency Board for Equipment Standardization and Interoperability from 1999 to 2001. Mr. Sawicki has been a guest instructor at the FBI and National Fire Academies, several state and provincial emergency training academies, and has presented technical papers at numerous national and international conventions.

Michael Homon, Vice President of Finance and Controller, Global Secure Corp

In his current role Mr. Homon is responsible for overseeing the finance and accounting operations of the Global Secure subsidiary companies. Mr. Homon has over thirteen years of diversified financial experience with public and private companies. From 1997 to 2004, Mr. Homon was the Director of Finance and Controller of Online Resources Corporation (NASDAQ: ORCC), where he helped to grow revenues at a 55% annual growth rate and raised over $100 million from strategic and financial investors, including a public offering in June of 1999. From 1996 to 1997, he was the Controller of Multimedia Medical Systems. From 1995 to 1996, Mr. Homon served as Assistant Controller and Controller with BRI International Corporation. Mr. Homon obtained his C.P.A. while a member of the professional staff at Deloitte and Touche. He is a graduate of the University of Delaware.

Craig R. Bandes – President, CEO, Director, Global Secure Corp.

Mr. Bandes has served as our president and chief operating officer since our founding in April 2003, and has served as our chief executive officer and as a director since February 2004. Prior to joining us, Mr. Bandes co-founded Focus Technology Consulting, a technology and process consulting company where he held various positions, acted as president and chief financial officer from October 2000 until June 2002. From September 1998 to October 2000, Mr. Bandes served in several capacities with Net-Tel Communications, Inc., a local exchange telecommunications company, including senior vice president, corporate development, and vice president, corporate development. Mr. Bandes received a B.S. degree in Finance from Babson College in 1991.

Charles A. Hasper – CFO, Director, Global Secure Corp.

Mr. Hasper is responsible for the development and management of corporate financial budgeting, systems, controls and reports. Reporting directly to the Chief Executive Officer, Mr. Hasper provides guidance concerning banking and financing arrangements, and implications of M&A; activities.

Mr. Hasper provides seasoned financial skills bringing over 20 years of both domestic and international experience in mergers and acquisitions, strategic planning, government contracting, corporate financial reporting and financial accounting systems. Prior to joining Global Secure, Mr. Hasper spent 4 years as CFO with Allied Defense Group, a diversified international defense and security firm. Mr. Hasper's previous experience encompasses the Washington partner for Carroll-Kapfhamer Capital Partners LLC; Acting CFO, Controller and Vice President of finance for Government Technology Services; and financial management positions at AlliedSignal, Decision Systems Technologies, Inc., Unisys and Shell Oil -- both in domestic and international operations.

Mr. Hasper received a B.S. in accounting, with honors, from West Liberty State College and an MBA from the University of Maryland. He is a member of the American Institute of Certified Public Accountants.

John A. Moore, Jr. – Director, Global Secure Corp.

Mr. Moore joined the board of directors in August 2005. Mr. Moore was an executive vice president, chief financial officer, treasurer and director of ManTech International Corporation, a provider of information technology and technical services solutions to federal government customers. Mr. Moore oversaw financial operations and business development activities. He completed over 40 strategic transactions and 2 public offerings. Mr Moore had been a director of GSE Systems Inc., since 1997 and an executive employee since 1999. Prior to joining ManTech, Mr. Moore was a supervisory auditor for the Defense Contract Audit Agency, which is responsible for performing contract audits for the Department of Defense. Mr. Moore has been a director of Paradigm Holdings Inc., a provider of information technology and business continuity solutions to government and commercial customers, which is located in Rockville, Maryland, since April 2005. Mr. Moore received a B.S. degree in accounting from LaSalle University in 1974 and an M.B.A. from the University of Maryland in 1979.

Wayne M. Rehberger – Director, Global Secure Corp.

Mr. Rehberger joined the board of directors in August 2005. Mr. Rehberger has been the chief operating officer of XO Communications, Inc., a full-service provider of communications services for small and growing businesses, larger enterprises and carriers, since May 2004. Before that, Mr. Rehberger was the chief financial officer of XO Communications from January 2001 until May 2004. From May 2000 until October 2000, Mr. Rehberger was the chief financial officer of Net-Tel Communications, Inc., a local exchange telecommunications company. Previously, Mr. Rehberger spent 15 years at MCI Communications serving in a variety of Financial and Operational roles. Mr. Rehberger received a B.A. degree in business administration from Bucknell University in 1978 and an M.B.A. from the University of South Carolina in 1982.

Anthony C. Warren, Ph.D. – Director, Global Secure Corp.

Dr. Warren joined the board of directors in August 2005. Since June 2001, Dr. Warren has been a clinical professor of entrepreneurship and the director of the Farrell Center for Corporate Innovation and Entrepreneurship at the Smeal College of Business at Pennsylvania State University. In addition, since March 2000, Dr. Warren has been a venture partner of Adams Capital Management, a venture capital firm with headquarters in Pittsburgh, Pennsylvania. Prior to joining Penn State, Dr. Warren was a founding partner in Strategic Technologies, LLC, Princeton, New Jersey, a firm that helps emerging technology companies commercialize their intellectual property. Dr. Warren holds B.Sc. and Ph.D. degrees in physics from the University of Birmingham in the United Kingdom.



Global Secure's ADVISORY BOARD:

L. Paul Bremer III - Chairman

Ambassador Bremer served as presidential envoy to Iraq from May 2003 until June 2004. Over those 14 months, as the administrator of the Coalition Provisional Authority, he lead efforts to restore Iraq's economy, build an open democratic political system and deal with mounting security threats. After accomplishing his mission on June 28, 2004 and successfully handing over power to the interim government in Iraq, he returned to receive the Presidential Medal of Freedom, the nation's highest civilian award from President Bush, for his service in Iraq.

Ambassador Bremer was also presented with the Department of Defense award for Distinguished Public Service and the Nixon Library honored him with the "Victory of Freedom Award" for "demonstrating leadership and working towards peace and freedom." During his time in government, Ambassador Bremer received the State Department Superior Honor Award, two Presidential Meritorious Service Awards and the Distinguished Honor Award from the Secretary of State.

Prior to his service in Iraq, Ambassador Bremer was the chairman and chief executive officer of Marsh Crisis Consulting Company, a crisis management firm owned by Marsh & McLennan, a financial services firm. From 1989 to 2000, he was a managing director of Kissinger Associates, a strategic consulting firm headed by former Secretary of State, Henry Kissinger.

He also served as chairman of the bipartisan National Commission on Terrorism and served on the President's Homeland Security Council. Prior to entering the private sector, Ambassador Bremer served within the State Department for 23 years as special assistant or executive assistant to six Secretaries of State. President Reagan named him as ambassador to the Netherlands in 1983 where he served three years. Ambassador Bremer also served as executive secretary of the State Department and was President Reagan's Ambassador at Large for Counter Terrorism.

Ambassador Bremer received a B.A. degree from Yale University, a CEP from the Institut d'Etudes Politiques of the University of Paris, and an M.B.A. from Harvard Graduate School of Business Administration.

Mark Holman - Vice Chairman

Mr. Holman is currently serving as public policy advisor to Blank Rome Government Relations LLP, a government relations firm in Washington, D.C. From October 2001 through December 2002, Mr. Holman served as deputy assistant to the president at the White House Office of Homeland Security. While at the White House, he acted as one of the principal advisors to Homeland Security Director Thomas Ridge. Prior to working in the Office of Homeland Security, Mr. Holman served as chief of staff and a senior governmental and political advisor to Governor Ridge for over 18 years, including serving as chief of staff from 1995 to 2000, as well as chief of staff to then-Congressman Ridge from 1983 to 1991. He also served as campaign manager for Governor Ridge's successful 1994 Pennsylvania gubernatorial campaign.

Howard Safir

Mr. Safir is currently the chief executive officer of SafirRosetti, a full-service security consulting, investigative, and intelligence firm based in New York City, a position he has held since December 2001. Prior to founding SafirRosetti, Mr. Safir served as New York City's police commissioner under Mayor Rudolph Giuliani from 1996 to 2000 and as New York City's Fire Commissioner from 1994 to 1996. Mr. Safir received a B.A. degree in history and political science from Hofstra University in 1963. He is a member of the executive committee of the International Association of Chiefs of Police and has served as a delegate to Interpol, the National Drug Policy Board, and the El Paso Intelligence Center Advisory Board.
