Dear Brigade,

On August 8th, our National Committee will have an
opportunity to decide if the Natural Law Party will be merged
with the Reform Party.

Despite the statements and actions of Russ Verney, Jim
Mangia, Donna Donovan, Micki Summerhays, Ann Merkl, June
Spink, Paul Truax, Sue Harris Debauche, and John Hagelin,
this is an issue that can only be decided by the National
Committee ofthe Reform Party.

Remember, the Executive Committee is subservient to the
National Committee. Please read the following. Ask your
NatCom members to support its inclusion to the 8/8 NatCom
agenda -- and then to vote against the merger.

I, JEROME E. HEINEMANN, NATIONAL COMMITTEE
MEMBER OF WEST VIRGINIA, DO HEREBY PROPOSE THE
FOLLOWING RESOLUTION TO BE VOTED UPON ON 8
AUGUST 2000 AT THE NCM CONVENTION:

WHEREAS: The "Reform Party USA" (RPUSA) is a Delaware
"corporation", and as such, each of us as "National Committee
Members" (NCM) are legally considered Members of the
"Board of Trustees" and/or the "Board of Directors" of the
RPUSA, Inc., pursuant to the laws of our respective states and
Articles of Incorporation; and

WHEREAS: The "Natural Law Party USA" is a Iowa
"corporation", heretofore a "competing political entity", and as
such also has those legally considered Members of the "Board
of Trustees" and/or the "Board of Directors", pursuant to the
laws of their respective states; and

WHEREAS: The "Corporate Law" of our respective states
require all "mergers" between two or more corporations to be
done by "resolution" by each board, together with a "plan of
merger", setting forth:

(a) The names of the corporations proposing to merge, and the
name of the corporation into which they propose to merge;
(b) The terms and conditions of the proposed merger;
(c) The manner and basis of converting the shares, if any, or
each corporation into shares, obligations or other securities of
the surviving corporation or of any other corporation or, in whole
or in part, into cash or other property;
(d) A statement of any changes in the articles of incorporation
of the surviving corporation to be effected by such merger;
(e) Such other provisions with respect to the proposed merger
as are deemed necessary or desirable; and

WHEREAS: The above element of this Resolution comprised
the tangible and fiscal affairs of both corporations for "merger",
pursuant to the corporate laws of our respective states, and
that this element comprise the "merger" of the "RPUSA
Platform and Founding Principles" with that of the "NLPUSA
Platform and Founding Principles", to create a new "inclusive
platform and principles", as properly identified and approved by
the National Committee Members, as the "Board of Trustees"
and/or the "Board of Directors" of the RPUSA, Inc., pursuant to
the requirements of the Federal Election Commission for
eligibility in receiving any "matching funds"; and

WHEREAS: The above legal procedures have not been
heretofore fulfilled, pursuant to respective laws, prior to the
inclusion of the presidential candidate of the NLPUSA on the
RPUSA "primary ballot", or the inclusion of "state party
organizations" of the NLPUSA, or members of the NLPUSA, or
members of both the NLPUSA and the RPUSA, on the 2000
National Convention Credentials Committee or as delegates;
and

WHEREAS: The National Committee Members of the
RPUSA, Inc., having a lawful duty to act in their official
capacity as members of the "Board of Trustees" and/or the
"Board of Directors" of the RPUSA, Inc., on or about 8
AUGUST 2000, in Long Beach, California, must in fact take a
"vote" either to carry out an actual "plan of merger" between
the RPUSA and the NLPUSA, or in the alternative take a "vote"
to "exclude" the "Natural Law Party USA", and any of its
members, from any further interference or association in the
internal affairs of the RPUSA, Inc.; and

WHEREAS: Based upon the outcome of the vote taken by the
National Committee Members (NCM) of the RPUSA, Inc., as
the "Board of Trustees" and/or the "Board of Directors" of the
RPUSA, Inc., that the "Board of Trustees" and/or the "Board of
Directors" of the NLPUSA, Inc. be informed that they too must
take a "vote" to in fact either carry out a "plan of merger" of all
assets and "platform principles" in their next scheduled
National Convention to begin on or about 31 AUGUST - 4
SEPTEMBER 2000, or in the alternative take a "vote" to
exclude the "Natural Law Party USA" from any further
interference or association in the internal affairs of the RPUSA,
Inc.

THEREFORE BE IT RESOLVED: That the National
Committee Members of the RPUSA, Inc., meeting on 8
AUGUST 2000, in Long Beach, California, at 10 am at the
Westin Hotel, do in fact take a vote, pursuant to all applicable
laws, to either carry out a "plan of merger" with the NLPUSA,
Inc., or in the alternative vote to "exclude" the NLPUSA, Inc.
from any and all further interference or association in the
internal affairs of the RPUSA, Inc.; and

BE IT FURTHER RESOLVED: That the outcome of the vote
taken be final and binding upon the RPUSA, Inc., and reported
to the Delegates in assembly at the next regularly scheduled
National Convention for the affirmation or rejection of the
National Delegates, and duly recorded as such.
