What is the par value of SAP stock?
SAP preference and ordinary shares are no-par shares by resolution of the annual general meeting of June 16, 1998.

What are ADRs?
American Depositary Receipts (ADRs) are registered deposit certificates for stock that allow the listing of nonregistered bearer stock on U.S. stock exchanges. You can find more detailed information on the Bank of New York Web site.

What is the effect of the stock split of June 26, 2000, on the stock and ADRs?
Ordinary and preference shares were split three-for-one. This means shareholders have three times the number of ordinary and preference shares since the stock split. Essentially, nothing changes for holders of the SAP ADR since the split. They still hold the same number of ADRs, but the number of ADRs per preference share has decreased from 12:1 to 4:1.

How many shares are outstanding?
Total ordinary shares: 315,747,150 (fully diluted)

Freely floating ordinary shares: 61%
(as of June 2002)

Does SAP have a stock buyback program?
The Executive Board of SAP AG was authorized by the Annual General Meeting in May 2002 to repurchase up to 30 million shares of the Company by no later than October 31, 2003.

What is the difference between ordinary and preference shares?
Ordinary shares entitle shareholders to vote in the shareholders meeting. Preference shares carry a higher dividend than ordinary shares. However, the shareholder has no right to vote at the shareholders meeting. On June 18, 2001 preference shares were merged into ordinary shares.

When was SAP included in the German blue chips index DAX 30?
SAP shares have been included in the DAX 30 since September 18, 1995.

In 1972, five former IBM employees founded SAP. Their vision was to develop standard application software for real-time processing.

When did SAP go public?
SAP went public on November 4, 1988. The SAP ADR has been listed on the NYSE since August 3, 1998.

In what currency are SAP's results published?
SAP is a European company, so its accounts are published in euros, with U.S. dollar figures for guidance.

Since fiscal 1999 the accounts have been prepared with full disclosure in accordance with U.S. Generally Accepted Accounting Principles (GAAP).
