Avidian Consultant Program
|
| Consultants of Avidian Prophet create sales and provide
value-added services such as integration, training, support and consulting. Our
Consultant program allows you to earn 35% on every sale as well as creating
unique and special opportunities for everyone involved. If you are a software
Consultant or services provider, systems integrator, or company with
complementary product offerings you can be a Consultant for Avidian Prophet.

| Our Consultant’s have clients who are focused on growing revenues
and see Microsoft Outlook and Avidian Prophet as a simple and cost-effective
method to improve performance! |

| Program Commitments |
|
| Profile – Our Consultant Partners are composed of Microsoft
Solution Providers, business software resellers/consultants, CRM
resellers/consultants or independent IT Consultants who want to resell and
consult on Prophet Software. Our Consultant Partners provide value added
services in training, configuration, customization and integration with other
programs. We are looking for individuals and companies who believe in a more
profitable Outlook and want to sell and consult our solution within their
targeted market. |

| Initial Program Fee – You’re initial Program Fee of $400
covers one NFR copy of Prophet Client Software and three (3) additional copies
of Prophet Client software that you can re-sell. Upon approval in the Avidian
Consultant Program we require you to place your Initial Program Fee order
within 10 business days of acceptance into the program.

| Minimum Requirements – We are looking for active Consultant
Partners so we expect at least one sale per quarter of your initial purchase
value to stay in the program. Your association with our Consultant program will
be evaluated every 6 months. We do understand that it may take time to get your
initial sales and consulting practice going, so we want to give you enough time
to successfully ramp up and begin selling and supporting Prophet Software.

| Product & Technical Benefits |
|
| In House Use of Product – We provide our Consultant
Partners with one demonstration copy (NFR) of our Prophet Client software to be
used in your practice for selling, demonstrating and supporting our software.
Any additional Prophet Client copies or server versions you wish to purchase
for in house use will be available at 35% discount of the SRP.

| Access to Beta – As we get ready to launch our new releases
we want to make sure that our active Partners have a chance to try the new
product out and to provide important feedback to our success. As a Consultant
Partner you will be eligible to participate in our Avidian Beta Program for our
Partners.

|
| Pre-release Information – As part of our Consultant Partner
Program you will receive pre-release information in regard to our updates and
our new releases. This may be through our Avidian Newsletter, personal email or
conference calls. We want to make sure that as you are selling and supporting
our solution you are up-to–date with the feature sets and benefits of upcoming
products and can clearly express that to your prospects.

| Participation in Technical Update Calls – As a Consultant
Partner we will provide you with the opportunity to give feedback on new
planned releases and feature sets through our Technical Update Calls. These
calls are a vehicle to learn from our Development Team and our Technical
Support Department on tips and tricks, new issues, and guidelines to help you
on successfully selling and supporting Avidian Products.

| Technical Support from Avidian - We believe Avidian Prophet
Software is easy as 1-2-3, but know there may be times you may have an
issue/question and need access to technical support. As a Consultant Partner we
will provide unlimited phone and email support for your Prophet Consulting
Practice.

|
| Technical Training – We know as a Consultant Partner you
want to be kept up to date and technically proficient on the product. We
provide our Consultant Partners with access to participate in quarterly
technical conference calls. We also require you to attend a Welcome to
Prophet-able Outlook class that is held monthly for all new partners. We also
provide a 15% discount to attend the technical training classes we offer on our
web site. |

| Sales & Marketing Benefits
|
|
| Revenue or Margins on Software – As a Consultant Partner
you will receive a commission of 35% on license sale of Avidian Prophet
Software. As a Consultant Partner you will place all your orders through a
private web site that will deduct the 35% margin off the SRP when you place the
order. You can take advantage of better margins and a revenue stream
immediately.

| Payment of Purchases – All purchases as a Consultant
Partner can be paid for by credit card or check. We will consider terms on
orders after reviewing your first 2 quarters of sales activities.

| Use of Prophet & Avidian Logos – As part of joining our
Consultant Program we provide you with a variety Prophet links and banners that
you can attach to your web site to begin your Prophet business. We can also
provide you with Avidian Technologies and Prophet Logos as needed for your
other marketing efforts.

|
| Quarterly Partner Update Calls – As a Consultant Partner we
want your feedback to make our Product better. We will have quarterly Partner
Update calls to keep you apprised of new releases, press announcements,
products reviews and other exciting offers and opportunities from Avidian
Technologies.
|
|
| Quarterly Partner Sales Updates – We want to recognize
those Partners that are active in selling our Prophet Software. We will provide
quarterly statements to you of all sales we have received from you. Using this
information you can judge how successful your sales and marketing activities
are. From these reports we will be recognizing our more active partners via
Avidian newsletters, web announcements as well as having them participate in
some our press and public relations activities as needed.

| How to Join |
|
| 1. Complete the Consultant Online Application
|
|
| 2. Upon approval you will be sent a Consultant Information Form
and Business Partner Agreement that you need to sign and return to us.
|
|
| 3. Place your initial Program Requirements Order within 10
business days of approval.
|
|
| 4. You will receive a welcome email with all the details and links
to get you started on successfully selling and supporting Prophet Software.
