BOYD G. CARANO
 

Biography
Boyd's practice is focused on international business transactions in emerging markets around the world. Currently based in Singapore, Boyd previously was based in New York, Mexico City, and Houston. He is a member of the firm's worldwide Project Finance and Development Practice Group and is listed in Euromoney's 2001 and 2003 Guide to the World's Leading Project Finance Lawyers. Boyd has acted as lead counsel to multinational companies and partnerships in a variety of direct investment transactions in Asia and Latin America, with particular experience in development projects in power, other energy, and telecommunication sectors and acquisitions and joint ventures in financial, manufacturing, hospitality and real estate sectors. He also is actively involved in representing private equity clients in their Asian investments. 
Representative Experience
  • Representing a large private equity fund in over a dozen major NPL portfolio and other financial sector acquisitions and joint ventures in Taiwan, Korea, Thailand and Indonesia
  • Representing an international energy company in the divestiture of a 3,000,000 barrel petroleum products terminal and pipeline in the Philippines and the sale of 50% interest in a Philippine sales and marketing joint venture
  • Representing the developers in the U.S. $65 million expansion of an integrated gas/power production project in Indonesia, including renegotiation of power purchase agreement and restructuring of existing limited recourse financing arrangements
  • Represented an international energy company in the proposed privatization of Singapore's power generation assets
  • Represented an international oil and gas company in connection with the $262 million divestiture of its Indonesian oil and gas interests
  • Represented an international energy company in connection with purchases of power sector assets in the Philippines and Malaysia
  • Represented an international telecommunications infrastructure services company in a series of transactions for the installation of dark fiber infrastructure in South America's Southern Cone
  • Represented Bolivia's privatized oil and gas pipeline transportation company in its proposed $500 million financing and debt restructuring
  • Represented an international energy company in the development of the first natural gas-fired independent power project in Brazil
  • Represented a private equity fund in a series of successful bids to acquire NPLs and troubled assets in Mexico
  • Represented a major Japanese industrial and financial firm in its unsuccessful bid for a water treatment infrastructure project in Peru
  • Represented the majority shareholder of a project company in its successful bid for $450 million natural gas fractionation, extraction, refrigeration, and storage facility in Venezuela
  • Represented a private equity fund in stock and asset acquisitions of seed producers in Argentina and Chile
  • Represented a private equity fund in its unsuccessful bid to acquire a package of publicly-traded and private food production, processing, and distribution companies in Argentina, Brazil, and Venezuela
  • Represented an international energy company in connection with its unsuccessful bid for an $800 million high-pressure gas injection facility in Venezuela
  • Represented a significant U.S. real estate development and management company in its winning bid for the purchase of a 21-story office building in Mexico City from FOBAPROA, the predecessor to IPAB and Mexico's version of the RTC
  • Represented two leading U.S. hospitality companies in their joint acquisition of two Mexico City hotels valued at $133 million
  • Represented a leading U.S. agribusiness company in the Mexican component of its aborted acquisition of the worldwide livestock and poultry feed operations of another multinational agribusiness company
  • Represented a large U.S. industrial company in its $75 million acquisition of the refractory products division of a leading Mexican industrial company
  • Represented a $5 billion multinational office products company in its acquisition of an office products company with operations throughout Mexico
  • Represented an Illinois-based auto parts company in its joint venture with a leading Mexican auto parts company to manufacture truck suspension systems in Mexico for worldwide distribution
  • Represented a major U.S. financial services company in its aborted investment in and joint venture with an integrated Mexican financial group
  • Represented a major U.S. fertilizer company in the negotiation, organization and ultimate dissolution of its joint venture with a leading agricultural marketing company market and distribute fertilizer products in Mexico
  • Represented a major U.S. paint and adhesives manufacturer in the acquisition of a specialty adhesives manufacturing plant in Mexico City
  • Represented a leading Texas-based hospitality company in its joint venture with a Mexican hospitality company for the management and acquisition of hotels in Mexico
  • Represented a NYSE-listed company specializing in the manufacture of chemicals for the petroleum industry and agriculture in the acquisition of a Vera Cruz-area manganese sulfate plant
  • Represented a leading horticulture supply company in its investment in a joint venture of several U.S. fresh-cut flower companies for the production of roses in Mexico for export
  • Represented a large U.S. industrial company in its acquisition of a Mexican maquiladora plant engaged in the fabrication of steel construction components, including doors, door frames, and similar pieces
  • Represented the leading U.S. investment firm specializing in roll-ups in the Mexican tax and legal structural planning of its acquisition of a heavy duty construction equipment company with Mexican manufacturing and distribution facilities
