Overview

Vinson & Elkins is a market leader in advising clients who are creating specialized finance structures to achieve targeted company goals.  These diverse, complex and innovative structures have been applied to a wide range of U.S. and international assets.

For example, Vinson & Elkins lawyers have worked on securitizations of assets as diverse as mortgages, commercial loans, coal bed methane tax credits, software licensing fees, electric industry stranded costs, hydrocarbon production payments and trade, health care, software, transportation and gas contract receivables. We have been at the forefront of representing clients in synthetic, leveraged and other structured lease transactions involving fixed assets, including power plants, chemical plants, refineries, pipelines, offshore oil and gas production facilities, gas processing facilities, coker facilities, other factories, office buildings, retail facilities, airport landing rights, aircraft, light rail vehicles, passenger buses and other equipment.  Our lawyers represented the lenders in the first synthetic lease transaction in Latin America.  We have advised clients with respect to cutting edge derivative transactions.  We have also represented clients in a wide array of restructuring, workout, reorganization and distressed debt transactions.

Our lawyers bring to each transaction an understanding of the pertinent statutory frameworks, including those relating to securities, investment companies, investment advisors, utilities and ERISA.  We also have extensive experience representing municipalities, public agencies and other tax exempt organizations in structured finance transactions.  We bring in-depth knowledge of structured finance techniques, specialized understanding of debt and capital markets, and expertise in entity selection and legal opinions.

Regardless of the specific nature of the transaction, our attorneys pride themselves on developing creative, insightful and cost-effective solutions to the issues facing our clients.  These clients include issuers and sponsors of securitizations in the public or 144A capital markets, underwriters, arrangers, project developers, facility users, commercial bank syndicates, insurance companies and equity financiers.
