Biography
Doug has a domestic and international business transactions practice that focuses on the development, acquisition, divestiture, and financing of energy-related projects. His clients include independent power developers, oil and gas companies, chemical companies, electric utilities, master limited partnerships, private equity firms, and government-owned enterprises. Over the last few years, Doug has assisted companies in acquiring, divesting, developing and financing-often on an off-balance sheet or project-financed basis-electric power, natural gas, petrochemical, crude oil, and other energy projects in the United States and in other countries around the world. Doug is the Co-Head of the firm's worldwide Project Finance and Development Practice Group and also is a member of the firm's Energy, Mergers and Acquisitions, and Electric Power Practice Groups. 
Representative Experience
  • Representing a master limited partnership in the acquisition of Alaska Pipeline Company
  • Representing a large master limited partnership in its merger with another master limited partnership
  • Represented a Danish wind turbine manufacturer in connection with the 280+MW King Mountain Wind Farm in Texas, the world's second largest wind farm
  • Represented the Governments of Curaçao and the Netherlands Antilles and their subsidiaries in the development, investment in, and project financing of an electric power, steam, potable water and compressed air plant at the Isla Refinery in Curaçao
  • Represented a private equity firm in connection with the acquisition of an interest in two operating wind farms
  • Represented the government-owned electric and water utility in Curaçao in the issuance of convertible preferred stock to a U.S. electric utility
  • Represented a diversified electric utility in the divestiture of its engineering services and energy electric delivery subsidiaries
  • Represented an international chemical corporation in the divestiture of its international epoxy resins and derivatives business
  • Represented a diversified energy company in the acquisition, project financing, and subsequent sale of three cogeneration projects in New Jersey
  • Represented a U.S. electric utility in the successful bid for a controlling interest in an electric generating company in the State of Sao Paolo, Brazil
  • Represented a U.S. energy company in the formation by it and a major oil and gas company of one of the largest midstream gas companies in the U.S.
  • Represented large U.S. electric utilities in the development of 600+ MW combined-cycle merchant power plants in Texas and Arizona
  • Representing a technology development company in the creation of ventures to develop technology in various fields of use involving the energy and chemical businesses
  • Represented an international water company in connection with its bids to design, build, and operate a biosolids treatment facility in Illinois and water treatment facilities in Texas, Washington and Florida
  • Represented a large U.S. electric utility company in the formation by it and a major oil and gas corporation of natural gas and electric power marketing joint ventures in the United States and Canada
  • Represented a large U.S. independent power producer in the development and project financing of a 185 MW combined-cycle, barge-mounted power plant in the Dominican Republic
