Biography

| Catherine's principal practice areas include the representation of underwriters and issuers in a variety of corporate securities transactions, including private placements, initial public offerings, registered secondary equity and debt offerings, Rule 144A/Regulation S offerings and medium-term note programs. She has also represented clients in mergers and acquisitions and provided advice on general corporate and securities matters. Catherine has notable experience with real estate investment trusts, master limited partnerships, specialty finance companies and forest products companies. She has also represented underwriters and issuers in government agency financings involving the issuance of asset-backed securities, as well as unsecured domestic, global and foreign-targeted debt. |
Representative Experience

- Represented the issuer in connection with its $365 million combined initial public offering of debt and equity securities of a pipeline master limited partnership
- Represented the issuer in connection with its $150 million initial public offering of equity securities of a coal royalty master limited partnership
- Represented the issuer in connection with its $40 million initial public offering and $48 million secondary offering of equity securities of a propane master limited partnership
- Represented the underwriters in connection with the establishment of a $125 million medium-term note program for a real estate investment trust
- Represented a government-sponsored enterprise in connection with six offerings of agricultural mortgage-backed securities totaling $135 million
- Represented the underwriters in connection with an $88 million common stock offering for a coal bed methane company
- Assisted public medical device company in its defense of a hostile takeover attempt by the largest company in its sector
