NOTICE TO USER: THIS IS A LEGAL AGREEMENT BETWEEN YOU AND CREATAS, INC (hereinafter "Creatas"). PLEASE READ THIS AGREEMENT ("Agreement") IN ITS ENTIRETY BEFORE YOU CONTINUE TO USE THE SITE OR DOWNLOAD ANY IMAGE.  BY CLICKING/CHECKING THE "I AGREE" BUTTON AND BY USING THIS WEBSITE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. CREATAS RESERVES THE RIGHT TO CHANGE THIS AGREEMENT FROM TIME TO TIME AT ITS SOLE DISCRETION. YOUR USE OF THE SITE WILL BE SUBJECT TO THE MOST CURRENT VERSION OF THIS AGREEMENT POSTED ON THE SITE AT THE TIME OF SUCH USE.

If you are obtaining image reproduction rights on behalf of a company, you represent that you have the authority and right to bind the company to the terms contained in this Agreement.

OWNERSHIP OF THIS WEBSITE

This website is owned and operated by Creatas. All elements of the site, including the content and the general design are protected by copyright, trademark, trade dress and other US and international laws relating to intellectual property and copyright. All images and related information (collectively referred to as "Images") are owned by Creatas or our Image providers.

You agree to furnish accurate information when registering with Creatas. You are responsible for maintaining the confidentiality of Your user name and password. You agree to take reasonable steps to prevent others from obtaining Your access information and to notify Creatas of any unauthorized access or need to update or remove access for any of Your employees or agents. You will be liable for payment for all Images downloaded by others, with or without Your permission or knowledge prior to the time that you notify Creatas of any unauthorized use.

You may not remove any copyright, watermarks or other notices contained in the Images and information. Creatas reserves the right to restrict or remove Your access to this site at any time, or revoke Your authorization to view, download and use the Images and information on this site at any time, and you shall immediately discontinue Your use upon written notice from Creatas.

This site could include technical or other mistakes, inaccuracies or typographical errors. You are solely responsible for determining whether Your use of an Image or any related information is appropriate for Your intended use and complies with any applicable laws or customs.

PERMITTED USAGE:

Comp Use: Creatas grants You the personal, nontransferable, and nonexclusive right to copy the Images You have selected onto Your computer hard drive and to use the Image and any derivative works or copies (collectively, the "Image") on one computer and with one user at a time only in the United States for no longer than 60 days. The Image may only be copied, modified and incorporated in materials for comprehensive layouts ("Comps"this Agreement.

NO WARRANTY

DIGITAL FILES ARE PROVIDED "AS IS." having jurisdiction.

This Agreement, its validity and effect, shall be interpreted under and governed by the laws of the Commonwealth of Virginia without regard to its conflicts of laws principles. If You are an agent for or an employee of a non-U.S. company but do business in or operate in a place of business in the United States or its territories, You expressly agree that any dispute regarding this Agreement shall be adjudicated within the United States in the manner described herein. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

For Copyright claims You consent to the exclusive jurisdiction of the state or federal courts within the Commonwealth of Virginia and You submit to the personal jurisdiction of such courts for such purpose. If Creatas is caused to present claims or suit as a result of any breach of the above terms set forth, it shall be made whole for such reasonable legal fees, expert fees or costs by You.

MISCELLANEOUS

This Agreement is not assignable or transferable by You.

No action of Creatas, other than an express written waiver or amendment, may be construed as a waiver or amendment of any of the terms and conditions of this Agreement.  Should any clause of this Agreement be found unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect.

This Agreement contains all the terms of the agreement between us (Creatas and You) concerning transmission, delivery and review of Images, and no terms or conditions may be added or deleted unless made in writing and signed by both of us. These terms and the terms of any subsequent invoice supersede any and all terms of Your purchase order. Any subsequent invoice issued to You may contain additional terms relating to the rights granted and the type of usage allowed.
