Office Overview
Vinson & Elkins has represented the interests of clients doing business in the former Soviet Union since the early 1970s. We established our office in Moscow in early 1991, and recently relocated to 31 Novinsky Boulevard, a new multi-functional complex located directly on the Garden Ring and Kudrinskaya Square.
Our Russian/CIS Practice Group includes American lawyers and Russian lawyers who are fluent in both English and Russian. Our Moscow office currently has 15 employees.
Our Russian/CIS Practice Group has experience in all types of business transactions in the Russian Federation, Turkmenistan, Uzbekistan, Ukraine, Kazakhstan, Azerbaijan and other Republics of the former Soviet Union, including planning, negotiation, documentation, registration, implementation and operation. We have been and are currently involved in negotiating and documenting production, manufacturing, trading and other joint ventures, service agreements, project financings and other business transactions in these countries. We also advise many existing companies in the various facets of their operations in Russia and elsewhere.
While our Practice is broad ranging, assisting clients in almost all areas of law and in many different business sectors, our principal areas of expertise can be summarized as follows:
Corporate
We set up and structure new business activities in Russia, with emphasis on tax planning, currency exchange and control matters and in shareholders rights issues. We have experience in representing companies and their shareholders before the Russian Federal Securities Commission, the Anti-Monopoly Ministry, the various registration bodies and other agencies of the Russian Federation and local administrations in Russia. We have advised many of our clients on how best to establish Russian enterprises and joint ventures with Russian companies.
Energy
We have represented Western companies on a number of energy projects, both in the resource area and the electricity generation and transmission sector. Our firm represents Western companies in setting up and operating joint ventures in the energy sector, in buying and selling energy assets in Russia and in the myriad of tax, customs, transport, environmental and operational aspects of the energy business. We have also worked on a number of energy projects in Azerbaijan, Turkmenistan, Kazakhstan, Uzbekistan and other former Soviet Republics.
Finance
We have represented lenders and borrowers in transactions relating to various Russian projects. We were counsel to the first oil and gas project finance arrangement in Russia and have continued to represent banks, investors and borrowers in the complex and changing Russian lending landscape. We have also represented investment banks and other institutions in arranging structured finance for projects in Russia and other countries of the CIS.
Privatisation
We have taken part in some of the largest privitisations to date in Russia, including privitisation of energy assets, telecoms companies, food manufacturing businesses, real estate and buildings and other former Soviet State property, and have worked with clients and the various State and local agencies responsible for privatising the many assets of the former Soviet State.
Telecommunications and Media
We have worked on a number of telecoms projects, from private satellite systems to those involving the Russian Space Agency and Military launch vehicles. We have also been involved in assisting companies working in the fledgling media, public relations and advertising markets.
General
Our Russian/CIS Practice Group also is involved in customs, tax, labour, real estate, heavy industry, transportation and other projects undertaken by our clients in Russia and the former Soviet Union.
