1. What percentage of shares did UOB buy from ABN AMRO?


Answer: UOB bought the total of 80.77% BOA shares from ABN AMRO at Bt 5.35 per share.

2. What was the shareholder structure of BOA before the sale of ABN AMRO?

Answer: As of the latest closing date of the shareholder register book (19 March, 2004), the Bank’s major shareholder structure is as follows:

3. Does UOB need to make a tender-offer for the remaining shares from minority shareholder ?

Answer: Yes, UOB needs to make a tender offer. The tender-offer period would be around 30-45 days after the completion of the sale and purchase process between ABN AMRO and UOB, which is expected in the third quarter of 2004.

4. Are there any SLIPS, CAPS, or other type of hybrid capital in BOA’s capital structure?

Answer: No, there are not any SLIPS, CAPS or other types of hybrid capital in the Bank’s equity.

5. Is it possible that UOB Radanasin and BOA will be merged into one entity?

Answer: Under the government’s “One presence” rule, UOB is allowed to have only one presence in Thailand. This will force UOB Radanasin and BOA to be merged in due course, but not immediately.

6. What is the Bank's business strategy going forward?

Answer: The Bank’s main areas of focus will continue to be in commercial, SME and consumer markets.

7. What is the progress of the Bank's customer relation management (CRM) project?

Answer: The Bank’s CRM project, which is called Asia Care U project, was launched in early 2002 with the commitment to develop a truly customer centric bank. The first phase went live in March 2003, as scheduled, in the area of the call center (ASIAPhone), and direct sales. The second phase is the acceleration of our loan processing through implementation of a Loan Origination System. This tool is currently in pilot tests, and is expected to be implemented through out every branch in the third quarter of 2004.
