Biography
David's practice focuses primarily on corporate work, including mergers and acquisitions, joint ventures and project development and  finance.  David's clients have included large publicly traded companies, both domestic and foreign, private equity funds and start-up companies.

David has represented clients who are involved in a variety of industries, including the energy, telecommunications, real estate, manufacturing and services industries.

Representative Experience

  • Represented private equity fund in connection with the purchase and equity and debt financing (including mezzanine and Term Loan B debt) of a power plant in the U.S.
  • Represented financial institution in the acquisition and acquisition financing of private equity fund’s participation in the purchase of interests in 25 power plants in the U.S.
  • Represented founders in the formation and funding of a private equity fund
  • Represented privately-held company in the acquisition and debt financing of 15 radio stations through a pre-packaged bankruptcy of seller
  • Represented foreign energy company in connection with the purchase of an LNG business
  • Represented foreign energy company in connection with its participation in the development of an LNG project
  • Represented company in the sale of its former headquarters office complex
  • Represented U.S. energy company in proposed formation of joint venture with foreign hedge fund to own and operate electric generation and transmission assets in South America
  • Represented foreign company in its $1 billion debt and equity financing of a fiber optic cable project
  • Advised publicly traded foreign telecommunications company in its merger with a foreign telecommunications company
  • Represented U.S. energy company in its sale of its telecommunications business to a foreign company controlled by a U.S. private equity fund
  • Advised a telecommunications company in connection with its domestic and international recapitalization
  • Advised international telecommunications company in its equity investment in a start-up satellite company
  • Represented clients in developing infrastructure projects in Argentina, Brazil, the Czech Republic, Israel, Mozambique, South Africa, Trinidad and Tobago and Turkey, including gas, steel and power projects
