Biography
Natalya is a Russian attorney and a partner in the firm's Moscow office and has extensive experience in Russian corporate, project finance, real estate, securities, telecommunications, privatization, and antitrust law matters. Her corporate practice has involved many of the high-profile issues shaping Russia's corporate environment in recent years including protection of minority shareholders and structuring corporate relationships between Russian and non-Russian shareholders.

Experience
- Represented the largest independent natural gas producer in the Russian Federation and the second-largest producer of natural gas in Russia after Gazprom and one of its major shareholders in connection with the listing of GDR's on the London Stock Exchange. The shares underlying the GDRs were owned by one of the major shareholders, which raised funds in excess of $950 million. The offering was the second largest ever by a Russian company
- Represented a majority shareholder of a Russian gas company in connection with a proposed sale of a blocking stake to a major French oil and gas company for approximately US$900 million
- Represented one of the largest Nordic oil companies in connection with its 50% interest in a Russian joint venture with the largest Russian oil company for the development and production of the Shapkino area fields in Northwest Russia, and the on-going relationship of the shareholders in the joint venture. The work included structuring of shareholder arrangements for the project, debt and equity financing, and corporate matters
- Represented the seller in connection with the sale of an interest in the largest independent gas producer in Russia to a multi-lateral financial institution
- Represented a large Finnish energy company in the 150 million euros investment in the shares constituting more than a 30% interest in the Russian electricity generation and distribution company in the Northwest of Russia with the electricity sales totaling 24.7 TWh and electricity generation amounting to 12.4 TWh in 2003
- Represented the borrower and the sponsors, the largest Russian oil company and the largest Finnish oil company, in connection with negotiation and implementation of a $200 million oilfield development financing from EBRD and a syndicate of foreign banks, one of the largest energy projects financed in Russia; this transaction was named “European Oil & Gas Deal of the Year” for 2002 by Project Finance magazine
- Represented a group of western investors and their Russian partners in connection with the consolidation and restructuring of a group of Russian oil production companies
- Represented a large Western bank in connection with the financing of the EI Cajon 750 MW hydroelectric project in Mexico including a guarantee and a pledge of stock in the project company by one of its sponsors, the largest Russian manufacturer of turbines for hydroelectric power stations
- Represented a western portfolio investor in Russian oil companies in connection with abuses of the minority shareholders' rights, including attempts of illegal dilutions, stripping of assets via creation of subsidiaries and practices of affiliate transactions at less than fair value (transfer pricing) utilized by the major Russian oil holding joint stock companies, including Yukos and Sibneft. The work included numerous litigations in Russia and other jurisdictions
