Biography
Mike's principal areas of practice are corporate finance and mergers and acquisitions. He has worked on over 150 public financings and over 100 merger and acquisition transactions. He represents U.S. and non-U.S. companies as well as a number of underwriters. During over 30 years of practice, he has focused on transactions with a relatively high degree of tax structuring. In addition, he has been involved in many aspects of private equity investing. He has participated in developing several unique financing techniques including the development of master limited partnerships. In the project finance area, he has been involved in a number of gas pipeline projects in the United States and a major oil pipeline from Argentina to a port in Chile. With respect to mergers and acquisitions, his focus has been on transactions involving the possibility of tax deferral.

- Represented private equity funds in numerous acquisition and investment transactions

- Represented underwriter in $600 million, $805 million and $865 million offerings of zero coupon convertible notes of oil services companies
- Represented underwriter in $575 million combined offerings of debt and equity securities of pipeline master limited partnership
- Represented a forest products company in a $750 million acquisition of timberlands
- Helped defend public medical device company from hostile takeover attempt by largest company in sector
