Biography
Pat's principal areas of practice are health system finance, indenture trustee counsel, utility finance, and electric cooperatives.

She is experienced as borrower's, issuer's, trustee's, lender, bank and underwriter's counsel in tax-exempt and taxable health system financings, project financings, rural electric financings, industrial development bond issues, corporate debt issues, tax-exempt bond issues, tax-exempt hospital leases, leveraged leases, asset securitization transactions, and hydroelectric and cogeneration financings. She has extensive experience with multimodal variable rate demand bonds and auction rate securities; taxable/tax-exempt, secured, and unsecured financings of public issues; private placements; 144A issues; U.S. government guaranteed and direct debt; convertible securities; derivatives; and grantor trusts.

Pat works with clients in all parts of Texas and in many other parts of the country. Pat has been a member of the firm's Health Industries Group, Electric Power Practice Group, Project Finance Group, and Public Finance Troubled Situations and Workout Team.

Representative Experience

  • Negotiated the first privatization of rural electric cooperative debt in 1986, and has structured innovative financings and restructuring for distribution and generation and transmission cooperatives throughout the country
  • Bond and borrower's counsel for largest unenhanced tax exempt single hospital daily demand bond issue ever done in U.S. ($995 million)
  • Represents Indenture Trustees in tax exempt and taxable workout and default situations
  • Extensive experience in water system financings and contracting as outside general and bond counsel to largest governmental water authority in Texas
  • Bond and borrower's counsel in tax-exempt bond financing of 40 YMCA projects throughout Texas 
  • Bond counsel for large health system obligated group financing in South Central Pennsylvania
  • Special Finance Counsel for merger of largest generation and transmission cooperative in U.S.A.
