Biography
Bruce is Chair of the firm’s Energy Practice Group and Co-Head of the firm’s Business and International Section. His practice consists primarily of domestic and international business transactions, including mergers and acquisitions, international infrastructure development projects, project finance, and other corporate transactions, particularly in the energy industry. He has represented domestic and international energy companies, financial institutions, investment funds, and health care, technology and telecommunications businesses.

Representative Experience

  • Represented a major energy company in its $1.5 billion sale of North American power generation assets.
  • Represented a major energy company in the sale of its multi-billion dollar energy trading book.
  • Represented a major energy company in the $1.1 billion restructuring of its ownership interests in one of the largest mid-stream energy companies in the country.
  • Represented a group of four private equity investors in its $3.65 billion acquisition of 11 electric power plants with a total capacity of 14,000+ MW, including an interest in a 2,500 MW nuclear generating station in Texas.
  • Represented the seller in the $1.1 billion sale of an interstate gas transmission company.
  • Represented the seller in the sale of its energy trading business to a leading financial institution at a price estimated by analysts at $1.1 billion, which is reported to be the largest M&A; transaction to date in the energy trading and marketing sector.

  • Represented a master limited partnership in its $13 billion (enterprise value) merger with another master limited partnership in the mid-stream gas business.
