Mergers and acquisitions
- Represented Duke Energy in its cross border $8 billion acquisition of Canadian-based Westcoast Energy
- Represented BMC Software in its $350 million acquisition of Peregrine Remedy from Peregrine, its $47 million acquisition of Magic Solutions from Network Associates and its $42 million acquisition of I.T. Masters International S.A.
Public Offerings and Corporate Finance
- Represented the issuer in the initial public offering of TNPC, Inc. (residential and small commercial deregulated energy service provider) and ExpressJet Holdings, Inc. (largest ever equity offering for US airline)
- Represented the issuers in public offerings of common stock by Spinnaker Exploration Company and Continental Airlines, Inc.
- Represented the issuers in public offerings of Senior Notes by Hanover Compressor Company and Duke Energy Field Services, L.L.C. and in public offerings of Convertible Senior Notes by Hanover Compressor Company and Continental Airlines, Inc.
- Represented Veritas DGC Inc. in its private offering of Floating Rate Convertible Senior Notes
- Represented the underwriters in the private offering of Convertible Senior Notes by Willbros Group, Inc.
- Represented the underwriters in a public offering of Senior Notes by Gulf Canada Resources Ltd.
- Represented the underwriters in a public offering of common stock by Veritas DGC Inc.
