Biography
Jay's practice involves the representation of clients in international mergers and acquisitions, energy matters and project development and finance transactions. During the last 20 years, he has worked on transactions in over 50 countries throughout the Americas, Asia, Europe, the Middle East and Western Africa, principally in the energy sector.
Jay currently serves as Coordinator of the firm's International Practice. He worked in Europe for five years, in the London office from 1990-1992 and in the Moscow office from 1992-1995. He is also a member of the firm's Practice Management Committee.

- Represented a European energy company in its $2 billion acquisition of oil and gas properties in the Gulf of Mexico
- Represented an international energy company in its multi-billion dollar gas development and unitization project in Indonesia
- Represented a U.S. oil company in the formation of a consortium with a major European oil company pursuant to which various oil and gas concession interests in Asia were exchanged
- Represented an international energy company in the approximately $1 billion sale of its energy operations in Equatorial Guinea
- Represented Chinese oil companies in connection with acquisitions of oil and gas interests in the former Soviet Union and Africa
- Represented an international energy company in its due diligence evaluation of and multi-billion dollar bid for an Asian energy company
- Represented a Canadian energy company in connection with the proposed development of an LNG receiving terminal and related petrochemical facilities
- Represented a U.S. oil company in connection with the acquisition of offshore oil and gas concessions in Brazil from Petrobras and the negotiation of transportation arrangements relating to the same
- Represented an international oil and gas company in the $262 million sale of its operations in Indonesia to PetroChina, the first international acquisition by PetroChina
- Represented a U.S. energy company in the $295 million sale of its oil and gas properties in the Gulf of Mexico, Texas and Louisiana
- Represented a U.S. energy company in its due diligence evaluation of and bid for a significant stake in a major Eastern European energy company
- Represented an international energy company on project contracts with the Government of Bangladesh for an integrated energy project involving the development of gas reserves, construction of gas pipelines and the construction and operation of three gas-fired power plants
- Represented an international energy company in the $103 million sale of its oil and gas operations in Ecuador
- Represented a major energy company in its multi-billion dollar bid and proposed acquisition of a Latin American oil and gas company
- Represented the European Bank for Reconstruction and Development, the Overseas Private Investment Corporation, and the International Finance Corporation in the $200 million project financing of Conoco's Polar Lights Project in northern Russia
- Represented a western oil and gas company in connection with the $90 million divestiture of its oil and gas operations in Argentina
- Represented an international energy company in the acquisition of oil and gas concessions and a natural gas processing facility in Western Africa
- Represented a western oil and gas company in connection with the construction of offshore drilling platforms and related facilities in the South China Sea
- Represented a major international company in connection with its proposed acquisition of power assets located in five Asian countries
- Represented two major Argentine energy companies in the disposition of their interests in one of the largest companies in Bolivia
- Represented numerous international energy companies in connection with oil and gas projects in the Russian Federation
- Represented a U.S. oil and gas company in connection with the $170 million divestiture of its operations in Indonesia to Petronas
