Biography

Rob is Co-Administrative Partner of the firm’s Moscow office, having previously been a partner in London.  Rob is an energy transactional lawyer, with a broad practice that includes international oil and gas transactions, cross-border mergers and acquisitions, project development and financing.

In addition to his expertise in the energy sector, Rob also has substantial experience advising on broader corporate and commercial matters, including M&A; transactions, joint venture arrangements, corporate reorganizations and a wide range of commercial contracts. Rob is an English-qualified solicitor and, before joining Vinson & Elkins in March 2000, was a senior lawyer in the Energy, Projects and Construction Group of a leading U.K. law firm.

International Oil and Gas

  • Represented Cairn Energy PLC in connection with the negotiation of production sharing arrangements in Nepal
  • Represented a U.S. independent oil company on the negotiation of production sharing arrangements in the Nigeria-Sao Tome Joint Development Zone, West Africa
  • Represented a state-owned oil company on joint venture arrangements with Chinese investors for the rehabilitation of the Uzen oil field in Kazakhstan
  • Represented a U.K. independent oil company in the arbitration of various disputes arising out of its production sharing arrangements in India
  • Advised a major international oil company on certain issues arising out of its participation in the Baku-Tblisi-Ceyhan Crude Oil Pipeline project 
  • Represented CNR International (UK) in connection with the negotiation of abandonment security arrangements for a North Sea field
  • Represented a major oil and gas company in connection with 'alliancing' arrangements with its contractors for a North Sea development (the first such arrangements in the North Sea)
  • Represented an international oil and gas company on the sale and charter-back of a floating production facility

M&A; Transactions

  • Represented the majority shareholders of OAO NOVATEK, Russia's largest independent gas producer, in connection with the sale of a 19.9% equity stake to Gazprom
  • Represented a Chinese state-owned oil company on the acquisition of a 50% interest in a joint venture company owning producing interests in Kazakhstan
  • Represented a bidder in the $4 billion sale of a listed company with interests in Kazakhstan
  • Representing a client in the proposed sale and purchase of upstream (exploration and producing) and pipeline interests in Russia and the Caspian region
  • Representing a Norwegian start-up in connection with the acquisition of producing oil interests in Russia 
  • Represented Gulf Keystone Petroleum in connection with the farm-out to BG of an interest in the Hassi Ba Hamou contract area, Algeria
  • Represented Fortum Power & Heat in connection with the disposal of generation assets in a number of European jurisdictions, including the U.K., Ireland, Sweden and Russia
  • Represented a U.S. power company in connection with the acquisition of a majority interest in a gas-to-power project in East Africa

Project Development and Finance

  • Represented a gas supplier in connection with long-term sale and transportation arrangements to a 1,200 MW power plant development in the U.K.
  • Represented Electricidade de Portugal in connection with the construction and operation of the  gas-fired power station in Portugal
  • Represented Standard Chartered Bank as lead arranger in connection with the provision of a $85m borrowing base credit facility to Pan-Ocean Energy Corporation, a listed oil company with upstream operations in Gabon
  • Represented a U.K. independent oil company in connection with its proposed participation in a gas field development/pipeline/power project in Bangladesh
  • Represented a U.S. water company in connection with the proposed operation of existing treatment facilities and the development of a BOOT project in Ghana

Renewables

  • Represented the developers of the 100MW Barrow offshore windfarm project in connection with the long-term sale of its power and renewable benefits
  • Represented private equity firm, HgCapital, in connection with its acquisition and project financing of the Tir Mostyn onshore windfarm development in the U.K.
  • Represented private equity firm, HgCapital, in connection with the acquisition of a portfolio of operational and development-stage windfarms in France
  • Represented a U.S. pharmaceuticals company in connection with its participation in a combined heat and power scheme
