Biography
Ted's focus is on various types of technology-related business transactions, including information technology (IT) outsourcing transactions, offshore outsourcing, business process outsourcing (including human resource BPO and billing and account service BPO), technology and software licensing, e-Commerce and Internet matters, international licensing, structured purchase of royalty payments derived from licenses of IP rights, and acquisition and divestitures of technology companies.
Ted is a member of the firm's Technology Transactions and Licensing Practice Group and is an active participant in the firm's working group addressing Internet and e-Commerce issues.

Experience
- Represented a U.S. airline in an outsourcing agreement, with aggregate payments in excess of $1.5 billion
- Represented a U.S. client in an outsourcing contract covering a worldwide data network and related network services and help desk, with aggregate payments in excess of $500 million
- Represents a startup company developing electronic original document system for use in home mortgage and commercial leasing industries; matters have included inbound and outbound licensing arrangements and strategic alliances and joint ventures
- Represents clients in connection with their e-Commerce strategies and transactions, including development and implementation agreements, application service provider (ASP) agreements, privacy policies, contracting strategies, on-line agreements, and terms of services
- Represented a U.S. licensor in the negotiation of licenses for use of technology in Brazil and Thailand
- Represented a U.S. client in a services agreement for the design and implementation of the SAP R/3 software for the entire enterprise throughout the world, with a total project cost in excess of $250 million
- Represented a U.S. client in an outsourcing contract for servers and related services on which the client's SAP R/3 software would run for its entire enterprise
- Represented U.S. clients with information technology service agreements with service providers located in India
- Represented U.S. clients in connection with the termination of information technology outsourcing contracts and "re-sourcing" to another service provider or "in-sourcing" to the company
- Represented various U.S. clients in the negotiation of software licenses with SAP for its R/3 software
- Represented a U.S. client in various outsourcing transactions covering mainframe computer services, network services, help desk, desktop support, and applications support and development, among several different vendors; these transactions also involved a joint vendor management agreement; the aggregate payments in these related agreements were in excess of $500 million
- Represented a U.S. client in an outsourcing transaction involving an IBM AS/400 system, and related help desk and support services, with aggregate payments in excess of $10 million
- Represented a large regional hospital on a variety of software licenses and computer system acquisitions, including systems for electronic medical records and pharmacy records
- Represented a large insurance company in an outsourcing transaction covering mainframe computing services, data network, E-mail systems, desktop support, and help desk services, with aggregate payments in excess of $150 million
- Represented a U.S. client in connection with the outsourcing of the outbound logistics for a major manufacturing facility in Houston, Texas
- Represented an international client in connection with the testing of a new patented technology, including contracts to build and run a $5 million pilot plant in the U.S., and various licensing and consulting contracts related to the plant
- Represented an international client in connection with the organization of a series of off-shore companies that would be utilized to exploit new patented technology
- Represented a U.S. client in connection with a non-exclusive license of its portfolio of U.S. patents
- Represented a U.S. client in the formation of a multi-tiered, multi-national joint venture with catalyst manufacturing facilities in the U.S., Europe, Canada, and Singapore
- Represented an international client in the formation of a multi-national joint venture with manufacturing plants in the U.S. and Mexico
- Represented various clients in connection with their investment in start-up technology companies and related licensing and strategic alliance agreements
