Biography
Bill's practice includes venture capital and private equity financing, mergers and acquisitions, joint ventures and strategic alliances, public securities offerings and debt financings, and general corporate, partnership and limited liability company matters.

Bill has advised public companies regarding tender offers, proxy contests, and going private transactions. He regularly advises management, boards of directors and audit, compensation and special committees of public and privately held companies regarding fiduciary duties, governance matters and securities law disclosure and compliance.

In addition, Bill has structured and negotiated technology transfer and licensing arrangements, including software development, licensing, and distribution agreements, trademark licenses, sponsored research agreements and patent licenses with universities and research institutions.

  • Represented venture capital firms and other private equity investors in forming and operating funds and in structuring, negotiating, and managing investments in portfolio companies
  • Represented corporations and partnerships in public and private financings, including initial public and secondary common stock offerings, preferred stock offerings, limited partnership formation, convertible debt offerings and Rule 144A offerings
  • Represented public and privately held companies in structuring, negotiating and completing mergers, acquisitions and other business combinations
  • Represented shareholders in acquiring and selling significant interests in public and private companies
  • Represented companies in structuring and forming joint ventures and other strategic alliances with customers and suppliers
