Overview | Experience
Overview V&E;’s Corporate Finance and Securities Practice encompasses public offerings, mergers and acquisitions and private equity transactions. Our lawyers are regularly involved in initial public offerings, takeovers by means of negotiated transactions as well as tender offers and proxy contests, venture capital investments and buyouts. We also represent special committees of boards of directors and investment bankers in connection with takeover transactions and fairness opinions and regularly advise our clients on matters relating to disclosure under the securities laws, fiduciary duties of directors and officers, joint ventures and other forms of alliances. The comprehensive scope of our practice and our extensive experience enable us to bring creative and innovative solutions to complex and novel corporate and securities problems.
Vinson & Elkins consistently ranks among the “Top Corporate Finance Practices” in Corporate Scorecard, prepared annually by The American Lawyer. In April 2002, Vinson & Elkins was the only Texas-based law firm on the list of "This Year's Leaders - Firms with the most top 10 rankings". Following are highlights:

Our rankings demonstrate the diversity of our practice areas and our experience with multiple industries, including oil and gas, telecommunications, technology and biomedical.
In mergers and acquisitions, the firm placed ninth in number of deals and value of deals. In 2001, we completed 97 merger and acquisition deals for our clients of which 47 were non-energy. The firm ranked eighth as U.S. issuer's counsel in equity offerings. In the high-yield debt sector, our corporate securities practice placed sixth by number of issues serving as issuer's counsel and ninth as underwriter's counsel, demonstrating parity with New York firms.
In June 2002, Corporate Board Member Magazine recognized Vinson & Elkins in its "America's Best Corporate Lawyers" survey, as selected by more than 24,000 board members of publicly traded companies. Among "Leaders in 50 Metro Areas," Vinson & Elkins ranked first in Houston, second in Austin and third in Dallas.
Vinson & Elkins was again ranked by the 2002-2003 Chambers Global: The World's Leading Lawyers as the leading firm in Corporate Mergers and Acquisitions in the Southern region of the United States. This is the second consecutive year the firm has received this prestigious top ranking.
Experience During 2001 and 2002, Vinson & Elkins handled more than 150 public or Rule 144A offerings. Many of the equity offerings were initial public offerings. As part of the process of going public, we assist companies in planning and structuring their businesses to meet the requirements and challenges, and to take advantage of the opportunities of being a public company.
The American Lawyer's Corporate Scorecard April 2002 ranked Vinson & Elkins as one of the top firms in the year 2002 in its representation of issuers and underwriters.
In addition, the 2003 Corporate Scorecard ranked Vinson & Elkins' corporate practice area first in the nation for IPOs worldwide with a total of six issues with proceeds of $1.2 billion.
