This Affiliate Agreement (Agreement) contains the complete terms and conditions between us, Kennel Club Books, Inc. (KCB) and you (You), regarding your request to participate as an affiliate of www.kennelclubbooks.com (KCB website) and the establishment of links from your Web site to the KCB website. You by establishing a link to the KCB website agrees to accept the terms and conditions of this Agreement, and this agreement shall be a legally binding agreement between You and KCB.

To become a participant in the Kennel Club Books Affiliate Program, you must submit a complete Affiliate Program Application through the links on this web site. KCB will evaluate the application and notify You if it is accepted or rejected. KCB may reject an application for any reason, or for no reason at all, it being understood that it is in KCB's sole discretion as to whether or not to accept an application.

If You are accepted as an affiliate (Affiliate) KCB will make available to You button links to the KCB website and/or text links to the KCB web site which you may display on your Web site, provided you abide by the terms and conditions of this Agreement. In using the Links, You agree that You will cooperate fully with KCB in order to establish and maintain such Links. All Affiliate Web sites shall display such graphic images in the Web sites as You see fit, provided they are not displayed in a negative or offensive manner. A Link may only be modified and/or expanded with KCB's consent. Each Link connecting users of your Web site to our Web site, shall in no way alter the look, feel or functionality of the KCB Web site. No link shall be modified to direct anyone to any website other than the KCB website. KCB shall have the right to monitor your Web site at any time to determine if You are in compliance with the terms of this Agreement.

KCB will process orders placed by customers who follow the Links from your Web site to the KCB Web site. KCB reserves the right to reject orders that do not comply with certain requirements which KCB may establish from time to time. All aspects of order processing and fulfillment will be subject to KCB's guidelines and discretion. KCB will track the amount of sales generated as a result of a direct link (using the link button provided by us) through Your Web site and will make this information available to You through the KCB Web site. To permit accurate tracking, reporting, and fee accrual, you must ensure that the Links between your Web site and our Web site are properly formatted.

KCB will pay You a commission equal to fifteen (15%) percent of the Net purchases of KCB's books purchased by customers who purchase on the KCB website as a direct result of a link through from Your website subject to the following conditions. The commission is based on the purchase being made during a specific visit to the KCB website as a result of the direct link from Your website. No commission wlll be paid as a result of subsequent visits to the KCB website unless they visit is initiated as a result of a direct link from Your website. The commission is only due for sales that have been fully completed and paid for by the customer. The commission is based on the sale price of the book excluding taxes and shipping costs. A commission will only be paid if the visitor to our Web site is tracked by the system from the time of the Link to the time of the sale. For a sale to generate a commission, the customer must follow the Link for your Web site to our Web site, purchase the product or products in question using our online ordering system, accept delivery of the item or items at the shipping destination, and remit full payment to us. No commission will be paid for products which are returned, not paid for, undeliverable or in the event payment is credited to any customer. We will pay Your commission on a quarterly basis within approximately 30 days following the end of each quarter. We will send You a check for the commission earned on the products shipped and paid for during the preceding quarter. If the commission payable to you for any quarter is less than twenty-five ($25.00) U.S. dollars, we may hold those commissions until such time as Your commission earned equals at least twenty-five ($25.00) U.S. dollars. If a product for which a sale generated a commission is returned by the customer, we will deduct the corresponding commission from your next quarterly payment. KCB also retains the right to review and cancel the right to all commissions based on fraud or an attempt to avoid the intent of this agreement which is to pay a commission for actual sales during a linked visit to the KCB web site during a linked visit from Your website.

Customers who buy products through the Affiliate Program are customers of KCB. KCB's rules, policies, and procedures concerning customer orders apply to these customers. We may change our policies and procedures at any time. KCB does not guarantee the availability of any product. KCB may at any time change its pricing of any product. If you choose to describe KCB's product on Your website it shall be described accurately. It will be Your obligation to appropriately update any information contained on Your website relating to KCB's products.

If you are approved as an Affiliate, KCB grants You a non-transferable, non-exclusive, revocable license to access KCB's website through links established solely as set forth under the terms of this Agreement. In connection with said links, KCB grants to you the non exclusive and revocable right to use KCB's logos, trade names, and trademarks solely for the purpose of selling products on Your Web site by way of link to KCB's website. You are not permitted to alter, modify or change the logos, trade names or trademarks in any way whatsoever. You may only use the Licensed Materials to the extent you are a member, in good standing, of the Affiliate Program. You may not use KCB's logo, trade names or trademarks for purposes other than for selling KCB's products. KCB reserves all of its rights in the logos trade names and trademarks and all other intellectual property rights. We may revoke your license at any time.

You will be solely responsible for the technical operation of your Web site and all related equipment; creating and posting product descriptions on your Web site and linking those descriptions to our catalog; the accuracy and appropriateness of materials posted on your Web site; for ensuring that materials posted on your Web site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy or other personal or proprietary rights); and for ensuring that materials posted on your Web site are not libelous or otherwise illegal. You agree that your Web site will not, in any way, copy or resemble the look and feel of our Web site nor will you create the impression that your Web site is our Web site or is a part of our Web site.

The term of this Agreement will begin upon our acceptance of your Affiliate Program Application and will end when terminated by either Party which may be done "at will". At any time, either Party may terminate this Agreement, with or without cause, by giving the other Party notice of termination. If this Agreement is terminated for any reason, you are only eligible to earn a commission on sales occurring during the term of the Agreement, and commissions earned through the date of termination will remain payable only if the related orders are not canceled or returned. We reserve the right to withhold your final payment for a reasonable time to ensure that the correct amount is paid. Upon the termination of this agreement for any reason, you will immediately cease use of, and remove from your Web site, all Links, trade marks, trade names and logos that identify KCB or the KCB website.

KCB may at any time modify any of the terms and conditions contained in this Agreement in its sole discretion. KCB will make reasonable efforts to notify You of any modification.

KCB shall not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Affiliate Program will not exceed the total commissions paid or payable to you under this Agreement.

You are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You have no authority to make or accept any offers or to make any representations on KCB's behalf.

KCB makes no express or implied warranties or representations with respect to the Affiliate Program or any products or other items sold through the Affiliate Program. In addition, KCB makes no representation that the operation of its Web site will be uninterrupted or error-free, and KCB will not be liable for the consequences of any interruptions or errors.

You hereby agree to indemnify, defend and hold harmless KCB from and against any and all claim of any nature (including attorney's fees) that arise out of or are based on any breach of this agreement by You or any claim related to Your web site.

The provisions contained in this Agreement constitute the entire agreement between the parties with respect to the subject matter of this Agreement, and no statement or inducement with respect to such subject matter by any Party which is not contained in this Agreement shall be valid or binding between the Parties.

This Agreement will be governed by the laws of the State of New Jersey. Any legal proceeding of any nature brought You against KCB shall only be instituted in the Superior Court of New Jersey and shall be venued in Monmouth County. You may not assign this Agreement or any rights conveyed by this agreement.
