Corporations Section

Visit this section for information on incorporating, forming a limited liability company, registering a partnership, filing a trade name, accessing information on entities already on file, or obtaining certificates and certified copies on existing entities. Good Standing Certificates are available through our online system.

Corporations Database

Search the Corporations Database for business names, trademarks, registered agents and individual names. You can download and print Annual Report Forms or Reinstatement Forms, if due.

Administrative Services

The Administrative Services Section is responsible for Service of Process, Mineral Lease, Business Opportunity, Taxicab Owners, Political Subdivisions, Psychologists and Public Opinion Polls.

Uniform Commercial Code Section

The Uniform Commercial Code allows for filing a financing statement (as public notice) which evidences that a debtor and secured party intend to engage in a secured transaction using the specified collateral as security.   The filings protect the secured party’s interest in the collateral. The UCC filings are for movable property only.

The 63 parish clerk of courts and Orleans parish recorder of mortgages are the filing offices.  The document is housed at the office of filing.  The original may be filed in any parish. However, the subsequent filings must be filed in the same parish as original filing.  The data is entered into a central statewide database, which is maintained by the Secretary of State.  The Secretary of State does not accept filings nor provide lien searches.

The Uniform Commercial Code Section includes Frequently Asked Questions, Clerks of Court List, and Fee Schedule.

Commercial and high volume users can subscribe to PC dial-up direct access via telephone modem to UCC information.
