Terms and Conditions

This document represents a legal contract between You and Marco Tabini and Associates, Inc. (“MTA”, or “us”), the legal owner and operator of this website and all related materials, products, content and publications (collectively referred to as the “Website and Related Material”, or the “Material”). By using the Material, you agree to be bound by the Terms and Conditions set forth herein, without restriction or limitation.

Use of the Material

MTA hereby grants you a limited, non-exclusive, non-transferable license to use the Material as set forth in these Terms and Conditions.

You agree that you will only use the Material in accordance with these Terms and Conditions, and that you will not copy, distribute or otherwise reuse for commercial or non-commercial purposes the Material except as set forth herein. You agree that the Material is a work of art protected under Canadian and International copyright laws, and that MTA is the rightful owner of such work of art.

You agree that you will not use the Material in a fraudulent or illegal way, or in a way as to damage MTA, its clients, its affiliates, partners and/or subsidiaries and the other users of the Material.

MTA agree to deliver the Material to you in one of two ways:

You agree that you will not copy or otherwise redistribute, whether for commercial or non-commercial purposes, the Material through any medium, under any form and under any circumstance without MTA's written permission. You acknowledge that doing so would constitute a breach of Canadian and International copyright law and that MTA will be justified in pursuing your actions legally to obtain relief and compensation.

Notwithstanding what set forth in these Terms and Conditions, you are authorized to print any number of copies of the Material on paper for your own use, but you agree that you shall not resell or otherwise redistribute such copies through any medium, under any form and under any circumstances without MTA's written permission.

Applicable Law

These Terms and Conditions shall abide and be regulated by the laws of the Province of Ontario and the Dominion of Canada. The provincial and federal courts of Ontario shall be the exclusive forum and venue to resolve disputes arising out of or relating to these Terms and Conditions or any use of the Material. By using the Material and thereby agreeing to these Terms and Conditions, you consent to personal jurisdiction and venue in the provincial and federal courts in Ontario with respect to all such disputes.

Your Age

You certify that you thirteen (13) years or older. If you are eighteen (18) years or younger, you certify that you have obtained your parent's consent prior to agreeing to these Terms and Conditions

Disclaimer

Although we employ our best efforts in ensuring that the information provided as part of the Material is factual and accurate, we hereby disclaim any and all warranties, whether implied or explicit, including accuracy of the Material and fitness for a specific purpose.

Submission of Ideas

We welcome your submissions of ideas improvements to the Material and other information. UNDER NO CIRCUMSTANCES SHALL ANY DISCLOSURE OF ANY IDEA OR RELATED MATERIALS TO MTA BE SUBJECT TO ANY OBLIGATION OF CONFIDENTIALITY OR EXPECTATION OF COMPENSATION. BY SUBMITTING THE IDEA AND/OR ANY RELATED MATERIAL TO MTA, YOU ARE WAIVING ANY AND ALL RIGHTS THAT YOU MAY HAVE IN THE IDEA OR ANY RELATED MATERIALS AND ARE REPRESENTING AND WARRANTING TO MTA THAT THE IDEA AND/OR RELATED MATERIALS ARE WHOLLY ORIGINAL WITH YOU, THAT NO ONE ELSE HAS ANY RIGHTS IN THE IDEA AND/OR MATERIALS AND THAT MTA IS FREE TO IMPLEMENT THE IDEA AND TO USE THE MATERIALS IF IT SO DESIRES, AS PROVIDED OR AS MODIFIED BY MTA, WITHOUT OBTAINING PERMISSION OR LICENSE FROM ANY THIRD PARTY. Articles submitted for publication are excluded from these terms only in that, should MTA determine to publish such articles, MTA shall enter into a separate agreement with you determining the terms and conditions under which MTA shall be able to publish such article.

Additional Clauses

Unless you instruct us otherwise, either through our website or personally, we will automatically autorenew your subscription to php|architect. We will inform you that your existing subscription is about to expire approximately one week before proceeding to the autorenewal process.

Without in any way limiting the prohibition on your resale, assignment, sublicensing, or other transfer of rights or obligations, these Terms and Conditions shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, successors, and assigns.

These Terms and Conditions shall continue in effect for as long as you use the Material, unless specifically terminated earlier by MTA. All provisions of these Terms and Conditions which impose obligations continuing in their nature shall survive termination of these Terms and Conditions.

All material is subject to change without notice.
