On October 1, 2009, KKR Private Equity Investors, L.P. transferred all of its assets and liabilities to KKR Group Holdings L.P. pursuant to an Amended and Restated Purchase and Sale Agreement, dated as of July 19, 2009, by and among KKR & Co. L.P., KKR Private Equity Investors, L.P. and certain affiliated entities, and then changed its name to KKR & Co. (Guernsey) L.P.
KKR & Co. (Guernsey) L.P.’s sole investment is in 100% of the limited partner interests in KKR Group Holdings L.P. The total value of this investment is being determined in accordance with U.S. generally accepted accounting principals and will be posted when available. KKR Group Holdings L.P. owns controlling interests in Kohlberg Kravis Roberts & Co. L.P. and its affiliates that manage or service a variety of investment funds and managed accounts, including KKR European Fund, KKR Millennium Fund, KKR 2006 Fund, KKR European II Fund, KKR Asian Fund, KKR European Fund III, KKR E2 Investors, KKR PEI Investments and KKR Financial Holdings (NYSE: KFN).
As of October 1, 2009, KKR & Co. (Guernsey) L.P. had 204,902,226 common units outstanding.
Ownership and Transfer Restrictions
KKR & Co. (Guernsey) L.P. common units represent limited partner interests in a Guernsey limited partnership and are traded on Euronext Amsterdam by NYSE Euronext under the ticker "KKR". We have also established a restricted depositary facility in the United States to allow qualifying investors to acquire and hold our common units in the form of restricted depositary units. Each restricted depositary unit represents the right to receive one common unit that has been deposited with The Bank of New York Mellon, as the depositary bank, and any other securities, cash or property that the depositary bank receives in respect of the common unit.
