OPINION – Kodak claimed work product privilege for communications with its auditor. The court ruled against Kodak, finding the communications were in the ordinary course of business, and that the underlying audit to determine royalties to be paid by Kyocera would have been conducted in the same way regardless of the prospect of litigation.
