The Linux Foundation Individual Affiliate Board Election Process


Eligibility Requirements for Individual Affiliate At-Large Directors - Primary Eligibility Requirements

  1. Only one individual employed by, consulting for, or otherwise formally affiliated with an entity may be nominated and included on the ballot for election as an Individual Affiliate At-Large Director at the same time. No more than one individual employed by, consulting for, or formally affiliated with an entity may serve as an Individual Affiliate At-Large Director at the same time.
  2. Eligibility is subject to the Control Group limitations set forth in the Bylaws.
  3. Nominees may not be engaged as a consultant for, or be a former or current employee of, the Linux Foundation, its predecessors or affiliates.


Selection Process

References to "Board of Directors" shall mean the Board of Directors of the Linux Foundation, or its authorized committee.

The Board of Directors shall submit a call for nominations to members of the Individual Affiliate Class (“Individual Affiliates”) following the conclusion of elections for the Platinum, Gold and Silver Directors. Each Individual Affiliate may nominate a single individual from the Individual Affiliate Class to stand for election to serve on the Board of Directors as an Individual Affiliate At-Large Director.

Nominations will be reviewed by the Board of Directors to ensure compliance with the Primary Eligibility Requirements. The Board of Directors shall prepare a Slate of nominees who (i) meet the Primary Eligibility Requirements, and (ii) meet such additional criteria as may be established by the Board of Directors in its reasonable discretion, including without limitation the following:

  1. Individuals whom the Board of Directors believes would contribute positively and constructively to the work of the Board of Directors or the mission of the Linux Foundation; and
  2. Individuals whom the Board of Directors believes would bring a unique, unrepresented and/or under represented point of view to the Board of Directors or the mission of the Linux Foundation.

The Board of Directors shall submit the Slate to the Individual Affiliates for approval and vote. All Individual Affiliates employed by, consulting for, or formally affiliated with the same entity (including companies in such entity’s Control Group, as defined in the Bylaws) shall be entitled to cast up to two votes, but may not cast both for the same candidate.

The two individuals (or such fewer number as vacancies then exist) receiving the most votes within the time allotted shall be invited to join the Board of Directors as Individual Affiliate At-Large Directors. The Board of Directors (or its authorized designee) shall be authorized to break any tie-vote in its discretion.

The officers of the Linux Foundation may adopt such additional policies and procedures as may be necessary or advisable, consistent with the foregoing.
